Redemption Ratio definition

Redemption Ratio means, in respect of any Redemption Date, a fraction, the numerator of which is the number of Shares being redeemed on such Redemption Date and the denominator of which is the total number of Shares subject to this Warrant at the Date of Grant (as adjusted pursuant to Section 4).
Redemption Ratio means the amount determined in accordance with Section 7.07(d).
Redemption Ratio means, (i) if on any Redemption Date, a fraction, the numerator of which is the Redemption Value, and the denominator of which is the Conversion Price at such time, and (ii) if on the Automatic Redemption Date, a fraction, the numerator of which is the Initial Stated Value, and the denominator of which is the Conversion Price at such time.

More Definitions of Redemption Ratio

Redemption Ratio means the lesser of (a) 0.25 and (b) a number equal to (i) 0.25 multiplied by (ii) a fraction (A) the numerator of which is the number of Pathfinder Class A Shares with respect to which a Pathfinder Shareholder Redemption has been exercised and (B) the denominator of which is the total number of Pathfinder Class A Shares outstanding as of the date hereof.
Redemption Ratio means a fraction, the numerator of which is the Value of such Stablecoin on such payment date and the denominator of which is one U.S. dollar ($1); and “Value” means, for each Stablecoin, the U.S. dollar redemption value for one of such Stablecoin as established by the issuer or sponsor of such Stablecoin on such payment date.
Redemption Ratio means the percentage value realized by dividing Aggregate Card Redemptions by Aggregate Card Issuance. “Reporting Period” means the period of time beginning on the first day of July 1, 2008 through June 30, 2009, and each subsequent twelve (12) month period thereafter while the Agreement is in effect. The Reporting Period may be varied by agreement of the parties. “Report” means the schedule prepared by Company showing the Reporting Period, Aggregate Card Issuance, Aggregate Card Redemptions, Trademark Licensing Fee, Handling Fee, and Reimbursable Card Costs that took place or was incurred during the Reporting Period. “Merchandise Return Credits” means merchandise return cards or credits. “Termination Date” shall mean 30 days after written notice of termination has been deemed delivered pursuant to paragraph 5.09. “Trademark Licensing Fee” means the consideration credited to Company for CardFact’s use of Company’s trademarks on Cards. ARTICLE II CARDS PROGRAM COMPENSATION 2.01 Aggregate Card Issuance. Company shall pay to CardFact the value of the Aggregate Card Issuance. 2.02 Aggregate Card Redemptions. CardFact shall pay to Company the value of the Aggregate Card Redemptions. 2.03 Trademark Licensing Fee. CardFact shall pay to Company the Trademark Licensing Fee. The Trademark Licensing Fee shall be based on a percentage (the “Trademark Licensing Fee Percentage”) of the Aggregate Card Issuance and shall be calculated in accordance with the Trademark Licensing Fee Percentage Table, attached hereto as Exhibit A. The Trademark Licensing Fee Percentage and/or Trademark Licensing Fee Percentage Table may be adjusted at any time by written agreement of both parties. The terms under which the trademarks are licensed are further articulated in the Licensing Agreement attached hereto as Exhibit B. 2.04 Handling Fee. CardFact shall pay to Company the Handling Fee. The Handling Fee shall be based on a percentage of the Aggregate Card Issuance and shall be calculated in accordance with the Handling Fee Computation, attached hereto as Exhibit C. The Handling Fee Computation may be adjusted at any time by written agreement of both parties 2.05 Reimbursable Card Costs. CardFact shall pay to Company the Reimbursable Card Costs. Reimbursable Card Costs has the meaning set forth in paragraph 1.04 herein.
Redemption Ratio shall have the meaning assigned to it in the recitals to this Agreement.
Redemption Ratio means such number as is determined by Subco to be the number of shares of Subco Common Stock to be issued for each share of Company Common Stock as part of the Merger Consideration.

Related to Redemption Ratio

  • Redemption Value means, in respect of a Unit, the price per Unit at which such Unit is redeemed, calculated in accordance with the Trust Deed.

  • Make-whole Redemption Rate means the sum, as calculated by the Make-whole Calculation Agent, of the Benchmark Rate and the Make-whole Margin.

  • Redemption Limit means the sum of the Maximum Daily Redemption Limits applicable to the LS Margin Account Agreement relating to the ETP Securities.

  • Redemption Percentage means:·on any Redemption Order Date, a fraction, expressed as a percentage:–the numerator of which is the aggregate number of Down MacroShares that are being redeemed and the denominator of which is the aggregate number of Down MacroShares that are outstanding prior to the redemption, in the case of the Down MacroShares; and –the numerator of which is the aggregate number of Up MacroShares that are being redeemed and the denominator of which is the aggregate number of Up MacroShares that are outstanding prior to the redemption, in the case of the Up MacroShares; or·on the Final Scheduled Termination Date or an Early Termination Date, a percentage equal to 100%.

  • SPS Redemption Valuation Date means the Settlement Price Date.

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Final Redemption Value means the Underlying Reference Value.

  • Redemption Prices means, collectively, Event of Default Redemption Prices, and the Company Optional Redemption Prices and each of the foregoing, individually, a “Redemption Price.”

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Redemption Time means the time at which the right to exercise the Rights shall terminate pursuant to Section 5.1 hereof.

  • Indenture Redemption Price has the meaning specified in Section 4.2(c).

  • Redemption Period means the period from, and including, the relevant Redemption Notice Date until the close of business on the second Scheduled Trading Day immediately preceding the related Redemption Date.

  • Optional Redemption Price shall have the meaning set forth in Section 3.2.

  • Early Redemption Factor (k) means the "Early Redemption Factor (k)" as specified in § 1 of the Product and Underlying Data.

  • Minimum Redemption means, in relation to the Euro Non-RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Tax Redemption Date means, when used with respect to any Note to be redeemed pursuant to a Tax Redemption, the date fixed for such Tax Redemption pursuant to this Indenture.

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;

  • Early Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency calculated by the Calculation Agent as the fair market value (calculated without taking into account the creditworthiness of the Company) of a Preference Share as of the Early Preference Share Valuation Date taking into account such factor(s) as the Calculation Agent determines appropriate, including, but not limited to, the relevant Early Preference Share Redemption Event after deducting any Associated Costs (to the extent not already reflected in such fair market value).

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Gross Redemption Yield means a yield calculated in accordance with generally accepted market practice at such time, as advised to the Trustee by the Financial Adviser.
