Relevant Public Filings definition

Relevant Public Filings shall have the meaning ascribed to this term in Schedule II to this Agreement.
Relevant Public Filings means public filings of EME and Midwest Generation LLC with the Securities and Exchange Commission prior to the Effective Date

  • Except as disclosed in the Relevant Public Filings, none of the Group Companies has any material obligation to provide retirement, healthcare, death or disability benefits to any of the present or past employees of any of the Group Companies or to any other person.

  • Except as disclosed in the Relevant Public Filings, none of the Group Companies is engaged in any material transactions with its directors, officers, management, shareholders or any other affiliate, including any person who was formerly a director, officer or manager of the Company, on terms that are not available from unrelated third parties on an arm’s-length basis.

  • Public Filings has the meaning set forth in Section 6.1(c).

  • Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.

  • Company Financial Information As defined in Section 2(a)(ii).

  • Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2020.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Form, fit, and function data means technical data that describes the required overall physical, functional, and performance characteristics (along with the qualification requirements, if applicable) of an item, component, or process to the extent necessary to permit identification of physically and functionally interchangeable items.

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Data Room Information means the information and documents listed in the index of documents contained in the Data Site attached to the Company Disclosure Letter;

  • Prospectus Supplements means, collectively, the Canadian Prospectus Supplement and the U.S. Prospectus Supplement;

  • Company Reports has the meaning set forth in Section 3.08(a).

  • Company Financial Statements has the meaning set forth in Section 3.6(a).

  • Purchaser Financial Statements shall have the meaning specified in Section 4.8.1.

  • Disclosed Information means the information disclosed by a Party for the purpose of settlement, negotiation, Mediation or Arbitration;

  • Company Material Contracts has the meaning set forth in Section 3.18(a).
