Replacement Cash Management Agreement definition

Replacement Cash Management Agreement means any cash management agreement entered into by and among Borrower, Administrative Agent for the benefit of Lenders, Manager, and a Replacement Cash Management Bank, provided that such cash management agreement is in form and substance substantially similar to the Closing Date Cash Management Agreement or is otherwise in form and substance reasonably acceptable to Administrative Agent.
Replacement Cash Management Agreement shall have the meaning set forth in Section 2.7.5 hereof.

Replacement Cash Management Agreement means a new or revised agreement with any Replacement Lender or agent thereof entered into in connection with any Replacement Debt that replaces the Cash Management Agreement with NW Capital or any prior Replacement Cash Management Agreement and contains terms not more adverse in the aggregate to the Noteholders than those in the Cash Management Agreement with NW Capital or such prior Replacement Cash Management Agreement.
