Examples of Replacement Welfare Plans in a sentence
Buyer shall not be obligated to maintain such benefits and coverage in the Replacement Welfare Plans as described in the preceding sentence (regardless of whether any Transferred Employee becomes a Transferred Employee after the Closing Date) (A) beyond the 36-month period following the Closing Date with respect to Non-Bargaining Unit Transferred Employees, and (B) beyond the remaining term of the Collective Bargaining Agreement with respect to Bargaining Unit Transferred Employees.
Union Employees shall be eligible to commence participation in welfare benefit plans of Buyer or its Affiliates as may be made available by Buyer (the "Replacement Welfare Plans").
Buyer shall have responsibility under the Replacement Welfare Plans for claims relating to treatment received by Transferred Employees and their eligible dependents on and after the Closing Date.
Collectively the Buyer’s Assumed, Joined and Replacement Welfare Plans shall be referred to herein as “Buyer’s Welfare Plans.” Coverage for all Transferred Employees and their respective dependents under the Company Benefit Plans that are not Buyer’s Assumed Welfare Plans or Buyer’s Joined Welfare Plans (the “Seller’s Welfare Plans”) shall cease to be effective as of the Closing Date.
Such Replacement Welfare Plans may not be amended or terminated, except as may be required by law or to preserve intended tax results, before December 31, 1996.
As of the Time of Distribution, Retained Employees shall cease to participate in the New Gaylxxx Xxxfare Plans and, unless allowed to participate in Parent (or any of its Subsidiaries) welfare plans, shall commence to participate in welfare benefit plans of the Company (the "Replacement Welfare Plans").
In addition, the Replacement Welfare Plans shall assume any continuation coverage obligations under Code Section 4980B with respect to those former Scout employees (and their qualified beneficiaries) who were last included on a payroll of the Institutional Pharmacy Business immediately prior to their termination of employment or with respect to qualified beneficiaries of any employee of New Scout or a Scout Affiliate.
Notwithstanding the above, nothing herein shall prohibit, or be construed to prohibit, Buyer or the Companies from terminating or amending the Replacement Welfare Plans at any time after December 31, 1996 ("Welfare Transfer Date").

Unless Buyer otherwise elects by no later than 60 days prior to the Closing Date, from the Closing Date until the Welfare Transfer Date Seller shall administer the Replacement Welfare Plans on behalf of Buyer under terms substantially similar to those applicable to welfare benefit plans then maintained by Seller; provided, however, that the ________ _______ Companies or Buyer may terminate such administration at any time.
