Required Completion Date means the date which is 180 days after the later of (i) the date this Lease is properly executed and delivered by Tenant, (ii) the date all prepaid rental, Security Deposits and Guaranties required under this Lease are delivered to Landlord, (iii) the date the building permit for the Landlord Work has been obtained, and, if applicable, (iv) the date all contingencies, if any, specified in this Lease have been satisfied or waived in writing by Landlord. Landlord and Tenant acknowledge and agree that: (i) the determination of the Commencement Date shall take into consideration the effect of any Tenant Delays; and (ii) the Required Completion Date shall be postponed by the number of days the Commencement Date is delayed due to events of Force Majeure. Notwithstanding anything herein to the contrary, if Landlord determines in good faith that it will be unable to cause the Commencement Date to occur by the Required Completion Date, Landlord shall have the right to immediately cease its performance of the Landlord Work and provide Tenant with written notice (the “Completion Date Extension Notice”) of such inability, which Completion Date Extension Notice shall set forth the date on which Landlord reasonably believes that the Commencement Date will occur. Upon receipt of the Completion Date Extension Notice, Tenant shall have the right to terminate this Lease by providing written notice of termination to Landlord within 5 Business Days after the date of the Completion Date Extension Notice. If Tenant does not terminate this Lease within such 5 Business Day period, the Required Completion Date automatically shall be amended to be the date set forth in Landlord’s Completion Date Extension Notice.
Required Completion Date means the date set forth in a Notice to Proceed by which Tenant must complete Approved Project, except as such date may be extended in accordance with the provisions herein.
Required Completion Date means June 1, 2009, provided, however, that the Required Completion Date may be extended by Lender to December 1, 2009 in Lender's sole discretion.
