Research Cost definition

Research Cost means the aggregate amount of costs incurred by LeukoSite to perform research under the Stage 2 Research Plan determined in a reasonable manner and consistent with normal internal accounting practices and GAAP.
Research Cost. REIMBURSEMENTS shall mean any payment for research and/or development that used PATENT RIGHTS under a research, development, testing, collaboration or co-development arrangement as documented by delivery to the payor of a written report which is not in excess of reimbursement for the costs, APPORTIONED OVERHEAD and salaries and fees required to conduct such research or development.
Research Cost means the fully-burdened cost of producing ribozymes for research use, including, as applicable, the cost of raw materials; direct labor and benefits; if necessary, royalties due to third parties; shipping and indirect costs (including depreciation and other indirect costs, but excluding general and administrative expenses), all fairly allocable to the ribozymes produced under this Agreement as determined in accordance with generally accepted accounting principles and customary usage in the U.S. pharmaceutical industry. For the purposes of the exclusion in the preceding sentence, "general and administrative expenses" means expenses associated with the following functions: human resources, law (including without limitation expenses of defense, settlement or discharge of liabilities to third parties), business development, and executive administration. Accounts receivable, accounts payable and purchasing expenses fairly allocable to the ribozymes produced hereunder shall be included within Research Cost; other expenses associated with general finance functions shall be considered general and administrative expenses and excluded from Research Cost.

  • During the Agreement Term, Vertex will keep and maintain accurate and complete records regarding Net Sales during the [***] preceding Calendar Years and CRISPR will keep and maintain accurate and complete records regarding the Research Cost covering the [***] preceding Calendar Years.

  • When Sponsor fails to pay the Research Cost as stipulated in Section 2.6.1, UEC may terminate this Agreement immediately.

Related to Research Cost

  • Development Cost means the total of all costs incurred in the completion of a Development excluding Developer Fee, operating deficit reserves, and total land cost as typically shown in the Development Cost line item on the development cost pro forma.
