Restricted Location definition

Restricted Location means any location where Backpack Exchange is not made available including without limitation any sanctioned jurisdiction and such other locations as specified by Backpack Exchange from time to time; and • are otherwise eligible to use the Services under Applicable Law; and • if you act as an employee or agent of a legal entity, and enter into this Agreement on their behalf, that you have all the necessary rights and authorizations to bind such legal entity and to access and use the Platform and Services on behalf of such legal entity.

Examples of Restricted Location in a sentence

• You may not use the Services if you are located in, or a citizen or resident of, any Restricted Location, or where your use of the Services would be illegal or otherwise violate any applicable law.

• If you travel to a Restricted Location, our Platform or Services may not be available and your access to the Platform and/or the Services may be blocked.

• You warrant that you are not a resident nor tax subject in any Restricted Location, and will not use the Services from Restricted Locations.

• If you attempt to access the Services from any Restricted Location, the Services or a part thereof may be provided to you by a third-party partner(s) of the Company, in which case, you will be subject in full to such third party’s terms of service.5. Notwithstanding the above, in some markets and regions, we may choose not to provide our Services but rather offer you the opportunity to engage in Third Party Transactions.

Restricted Location refers to where access to the Platform or the use of the Services may be restricted by BIT or prohibited, such as but not limited to: (a) the US; (b) the Chinese Mainland and Chinese Macau Special Administrative Region; (c) any country or jurisdiction which may be subject to economic sanctions under Applicable Laws or the laws, regulations or rules of the US; (d) any other country or jurisdiction where the Applicable Laws prevent us from having a business relationship with, or from providing the Services to, persons located, domiciled, holding assets in, or in any way linked to such countries or jurisdictions; (e) the countries or regions listed by the Financial Action Task Force as “High-Risk Jurisdictions subject to a Call for Action” or as “Other monitored jurisdictions” (other than the United Arab Emirates) as published and amended from time to time; and (f) any other country or jurisdiction which we, in our sole discretion, deem to be a Restricted Location, and which we may publish on our Site or notify you from time to time.
