Retention Employees has the meaning set forth in Section 1.07.

  • For any additional positions that become available during the initial ninety (90) day period of the new contract, the Successor Subject Employer will hire qualified Retention Employees by seniority within each job classification.

  • No less than sixty (60) days prior to the termination of a Predecessor Subject Employer’s contract, the Predecessor Subject Employer shall notify all Retention Employees in writing that they have been placed on a qualified displaced worker list and that the Successor Subject Employer may be required to offer him/her continued employment.

  • The Chief Executive Officer of the Seller shall determine, subject to approval by the President and Chief Executive Officer of the Buyer, the Retention Employees eligible to receive retention awards from the Retention Pool (each, a “Retention Bonus”) and any criteria for payment of the Retention Bonus, and shall determine the final allocation of payments from the Retention Pool.

Retention Employees has the meaning set forth in Section 7.20. “Retention Letter Agreement” has the meaning set forth in Section 7.20. “RW Policy” means any representations and warranties policy to be issued in accordance with Section 7.18 by an insurer selected by Buyers with respect to the representations and warranties of Sellers in this Agreement. “Section 280G” has the meaning set forth in Section 7.05(k). “Section 280G Payments” has the meaning set forth in Section 7.05(k). “Securities Act” means the Securities Act of 1933, as amended, and the rules and regulations promulgated thereunder. “Security Agreement” means a guarantee and collateral agreement in substantially the form attached as Exhibit M hereto among Sellers’ Representative as agent for Xxxxxxx, Buyers and the other parties named therein. “Security Incident” means any (i) breach of security, phishing incident, ransomware or malware attack affecting any Business Systems, (ii) incident in which confidential information or Protected Data was or may have been subject to Data Treatment in an unauthorized manner (whether any of the foregoing was possessed or controlled by the CD Group Companies or by another Person on behalf of the CD Group Companies), or (iii) “personal data breach,” or analogous terms, as defined under applicable Laws. “Seller 401(k) Plan” has the meaning set forth in Section 7.17(d).
Retention Employees. Those employees of the Company immediately prior to the Effective Time set forth on SCHEDULE 6.13(a) TO THE DISCLOSURE MEMORANDUM who have been offered and have accepted employment with Parent or the Surviving Corporation and commence employment with Parent or the Surviving Corporation after the Effective Time.
