Notwithstanding the foregoing, if Genomatica fails to enter into an agreement for a Proposed Transaction [...***...], Genomatica may not enter into, solicit or negotiate offers for such Proposed Transaction during the Right of First Offer Period without first complying again in full with the provisions of this Section 8.4, including without limitation, the delivery of a New First Offer Notice to WMOG with respect to the Proposed Transaction.
