Rights Plan means a plan of the Company providing for the issuance by the Company to all holders of its Common Stock of rights entitling the holders thereof to subscribe for or purchase shares of any class or series of capital stock of the Company which rights (i) are deemed to be transferred with such shares of such Common Stock and (ii) are also issued in respect of future issuances of such Common Stock, in each case until the occurrence of a specified event or events.
Option Plans has the meaning assigned thereto in Section 2.5(b).
Stock Plans shall have the meaning set forth in Section 3.7.
Shareholder Rights Plan means the amended and restated shareholder rights plan agreement dated as of November 10, 2015 between Parent and American Stock Transfer and Trust Company, LLC, as rights agent, as amended and restated as of April 18, 2016 as further amended, restated, succeeded or replaced from time to time, and any similar plan adopted from time to time;
Company Share Plans mean (a) the Company’s Stock Related Award Incentive Plan of 1999, as amended; (b) the Company’s 2010 Stock Incentive Plan, as amended; and (c) the Company’s 2015 Stock Incentive Plan, as amended;
Company Option Plans means the following stock option plans of the Company: (a) the Amended and Restated 1989 Stock Plan, (b) the Amended and Restated 1996 Stock Incentive Plan and (c) the 2002 Nonqualified Stock Incentive Plan.
Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.
Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.
Company Stock Plans has the meaning set forth in Section 3.02(b).
Parent Plans has the meaning set forth in Section 6.4(c).
Parent Stock Plans has the meaning set forth in Section 4.5(a).
Company Options means options to purchase shares of Company Common Stock.
Old Plans has the meaning set forth in Section 6.8(b).
Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.
Steps Plan means a plan evidenced by Eligible Information contemplating that there will be a series of successions to some or all of the Relevant Obligations of the Reference Entity, by one or more entities.
Company Stock Option Plans means the Company’s 2000 Employee Stock Option Plan, 1997 Employee Stock Option Plan and 1995 Stock Option Plan, in each case as amended.
Parent Option means an option to purchase shares of Parent Common Stock.
Stock Option Plans means any stock option plan now or hereafter adopted by the Partnership or the General Partner.
Parent Equity Plans means all employee and director equity incentive plans of Parent and agreements for equity awards in respect of Parent Common Stock granted under the inducement grant exception.
Company Plans has the meaning set forth in Section 4.10(a).
Common Share Reorganization has the meaning set forth in Section 4.1;
Amalco Common Shares means common shares in the capital of Amalco;
Benefit Plans shall have the meaning set forth in Section 3.13(a).
Approved Stock Plan means any employee benefit plan which has been approved by the Board of Directors of the Company, pursuant to which the Company's securities may be issued to any employee, officer or director for services provided to the Company.
Shareholder Approval Date means the date on which this Plan is approved shareholders of the Company eligible to vote in the election of directors, by a vote sufficient to meet the requirements of Code Sections 162(m) (if applicable) and 422, Rule 16b-3 under the Exchange Act (if applicable), applicable requirements under the rules of any stock exchange or automated quotation system on which the Shares may be listed on quoted, and other laws, regulations and obligations of the Company applicable to the Plan.
Company Warrants means warrants to purchase shares of Company Common Stock.
