RMLS Database definition

RMLS Database. All data available to Firm Participant on the RMLS System, including the Participant Contribution and all other text, binary, and photographic image data, in any form now known or hereafter discovered. RMLS Policies: RMLS’s then current bylaws, rules and regulations, and policies and procedures adopted by RMLS’s board of directors or authorized delegates, as RMLS amends them from time to time.
RMLS Database means all data available to Subscriber on the RMLS System, including the Subscriber Contribution and all other text, binary, and photographic image data.

  • RMLS hereby grants Firm Participant a personal, non-exclusive, non-transferable, and royalty-free license during the term of this Agreement to use the RMLS Software and the RMLS Database (excluding the Participant Contribution) (collectively, the “Licensed Materials”), only to the extent expressly permitted by this Agreement and the RMLS Policies and only to deliver real estate brokerage or appraisal services to Firm Participant’s bona fide customers.

  • To maintain the confidentiality of all user IDs, passwords, the RMLS Database, and the RMLS System, Firm Participant shall take the greater of reasonable care or the care it takes to protect its own confidential information.

  • RMLS hereby grants to Firm Participant a non-exclusive, perpetual, world-wide, royalty-free, license to reproduce, prepare derivative works of, distribute, display, perform and license (including sublicenses through multiple tiers) the Participant Contribution and those portions of the RMLS Database relating to Firm Participant’s listings.

  • If Firm Participant or any Subscriber continues to use the RMLS Service or RMLS Database after the expiration of the 30-day notice period, Firm Participant will be deemed to have agreed to the terms as amended.

  • RMLS shall make quarterly registrations of the RMLS’s copyrights in the RMLS Database; RMLS shall employ reasonable efforts to detect and hinder third parties using the Participant Contribution without Firm Participant’s permission.

  • If in RMLS’s judgment, however, a violation or alleged violation of the RMLS Policies is resulting in a continuing harm to RMLS or Other Participants or Subscribers, RMLS may suspend Firm Participant’s access to the RMLS Database during the pendency of any hearing or appeal.

  • Firm Participant therefore agrees that in the event of such unauthorized disclosure of RMLS Software or RMLS Database, RMLS may obtain injunctive relief or other equitable remedies against Participant in addition to all available remedies at law, without any showing of actual damages or posting any bond or security of any kind.

  • Firm Participant shall ensure that each Subscriber who will have access to the RMLS System or RMLS Database, enters into a Subscriber agreement with RMLS.

  • Firm Participant acknowledges that damages suffered by RMLS from access to the RMLS Service by an unauthorized third party as a result of disclosure of Firm Participant's password or an unauthorized disclosure by Firm Participant of the RMLS Database to a third party would be speculative and difficult to quantify.

  • Firm Participant acknowledges and agrees that the RMLS Software and RMLS Database are confidential and proprietary products of RMLS and that in the event there is an unauthorized disclosure of them by Firm Participant, no remedy at law will be adequate.

Related to RMLS Database

  • Database means the Commercial Driver Alcohol and Drug Testing Database of the Office of Driver Services of the Arkansas Department of Finance and Administration.

  • Computer database or “database” means a collection of recorded information in a form capable of, and for the purpose of, being stored in, processed, and operated on by a computer. The term does not include computer software.

  • Pseudonymous data means information that cannot be attributed to a specific individual without the use of additional information provided that it is kept separately and subject to appropriate technical and organizational measures to ensure that it is not attributed to the individual.

  • Anonymous Data means Personal Data that has been processed in such a manner that it can no longer be attributed to an identified or identifiable natural person.

  • System Data means data and data elements collected by the SaaS Software, SaaS Service or Licensor’s computer systems regarding configuration, environment, usage, performance, vulnerabilities and security of the SaaS Software or SaaS Service that may be used to generate logs, statistics and reports regarding performance, availability, integrity and security of the SaaS Software.

  • Sui Generis Database Rights means rights other than copyright resulting from Directive 96/9/EC of the European Parliament and of the Council of 11 March 1996 on the legal protection of databases, as amended and/or succeeded, as well as other essentially equivalent rights anywhere in the world.

  • Company Data means (i) data and information regarding each Fund and the shareholders and shareholder accounts of each Fund which is inputted into the Licensed System and the content of records, files and reports generated from such data and information by the Licensed System, and (ii) Company 22c-2 Data (as defined in Section 6.15(a) of this Schedule C).

  • Research Data means documents in a digital form, other than scientific publications, which are collected or produced in the course of scientific research activities and are used as evidence in the research process, or are commonly accepted in the research community as necessary to validate research findings and results;

  • Business Data means all business information and data, including Personal Information (whether of employees, contractors, consultants, customers, consumers, or other persons and whether in electronic or any other form or medium) that is accessed, collected, used, processed, stored, shared, distributed, transferred, disclosed, destroyed, or disposed of by any of the Business Systems or otherwise in the course of the conduct of the business of the Company or any Company Subsidiaries.

  • GLO Data means any data or information, which includes PII and/or SPI as defined below, collected, maintained, and created by the GLO, for the purpose of providing disaster assistance to individuals, that Provider obtains, accesses (via records, systems, or otherwise), receives (from the GLO or on behalf of the GLO), or uses in the performance of the Contract or any documents related thereto. GLO data does not include other information that is lawfully made available to the Provider through other sources.

  • Customer Data means any content, materials, data and information that Authorized Users enter into the production system of a Cloud Service or that Customer derives from its use of and stores in the Cloud Service (e.g. Customer-specific reports). Customer Data and its derivatives will not include SAP’s Confidential Information.

  • Web Site means the website that you are currently using (xxx.xxxxxxxxxxxxxxx.xx.xx) and any sub-domains of this site (e.g. xxxxxxxxx.xxx.xxxxxxxxxxxxxxx.xx.xx) unless expressly excluded by their own terms and conditions.

  • Project Data means all proprietary data of the Project generated out of the Project operations and transactions, documents and related information including but not restricted to user data which the Bidder obtains, possesses or processes in the context of providing the Services to the users pursuant to this RFP including the SLA;

  • Study Data shall have the meaning set forth in Section 8.1.

  • Central Contractor Registration (CCR) database means the primary Government repository for Contractor information required for the conduct of business with the Government.

  • Access Data means the Client’s access codes, any login code, password(s), his/her Trading Account number and any information required to make Orders with the Company.

  • User Data means any Personal Data or other data or information collected by or on behalf of the Company or any of its Subsidiaries from users of any Company Product or website of the Company or any of its Subsidiaries.

  • UNICEF Data means any and all information or data in digital form or processed or held in digital form that

  • End User Data means any information or data of any kind that personally identifies (or that can be used, together with other information or data, to personally identify) an End User.

  • Product Data are illustrations, standard schedules, performance charts, instructions, brochures, diagrams, and other information furnished by the Contractor to illustrate materials or equipment for some portion of the Work.

  • Licensee Data means, other than Resultant Data, information, data and other content, in any form or medium, that is collected, downloaded or otherwise received, directly or indirectly from Licensee or an Authorized User by or through the Services.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Open Book Data means complete and accurate financial and non-financial information which is sufficient to enable the Customer to verify the Call Off Contract Charges already paid or payable and Call Off Contract Charges forecast to be paid during the remainder of this Call Off Contract, including details and all assumptions relating to: the Supplier’s Costs broken down against each Good and/or Service and/or Deliverable, including actual capital expenditure (including capital replacement costs) and the unit cost and total actual costs of all goods and/or services; operating expenditure relating to the provision of the Goods and/or Services including an analysis showing: the unit costs and quantity of Goods and any other consumables and bought-in goods and/or services; manpower resources broken down into the number and grade/role of all Supplier Personnel (free of any contingency) together with a list of agreed rates against each manpower grade; and a list of Costs underpinning those rates for each manpower grade, being the agreed rate less the Supplier’s Profit Margin; Overheads; all interest, expenses and any other third party financing costs incurred in relation to the provision of the Goods and/or Services; the Supplier Profit achieved over the Call Off Contract Period and on an annual basis; confirmation that all methods of Cost apportionment and Overhead allocation are consistent with and not more onerous than such methods applied generally by the Supplier; an explanation of the type and value of risk and contingencies associated with the provision of the Goods and/or Services, including the amount of money attributed to each risk and/or contingency; and the actual Costs profile for each Service Period.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.
