Rolled Options definition

Rolled Options means the Seagate Options and Seagate Common Stock held by the individuals and in the amounts indicated in the Rollover Commitment Agreements previously delivered to the parties hereto.
Rolled Options means such of the Outstanding Options, if any, that are exchanged by the holders thereof of Keystone for securities of the Acquiror, provided, however, each such exchange shall be approved by the Acquiror.

Related to Rolled Options

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Company Stock Options means any option to purchase Company Common Stock pursuant to any Company Stock Plans.

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Equity Awards means any stock options, restricted stock, restricted stock units, stock appreciation rights, phantom stock or other equity based awards granted by the Company to the Executive.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Incentive Stock Options means Option Rights that are intended to qualify as “incentive stock options” under Section 422 of the Code or any successor provision.

  • Phantom Shares means an Award of the right to receive Shares issued at the end of a Restricted Period which is granted pursuant to Section 6(e) of the Plan.

  • Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.

  • Company RSUs means any restricted stock units granted under any of the Company Equity Plans.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.
