Royalty Assets definition

Royalty Assets means intellectual property (including patents) or other contractual rights to income (including under the LuxCo 3 Bonds) derived from the sales of, or revenues generated by, pharmaceutical and/or biopharmaceutical products, processes, devices, or enabling or delivery technologies that are protected by patents, governmental or other regulations or otherwise by contract, and/or the securities of entities that hold, directly or indirectly, such interests including, without limitation, securities convertible into the foregoing, and any securities investments or contracts that may provide a hedge for such investments.
Royalty Assets means (i) intellectual property (including patents) or debt instruments related to, or contractual rights to income or royalties (the structure of which may be in the form of, without limitation, royalty acquisitions, synthetic royalties, royalty notes, convertible debt and structured debt) derived from the sales of, or revenues generated, or to be generated, by, pharmaceutical, medical, health care and/or biopharmaceutical products, processes, devices, or enabling or delivery technologies that are protected by patents, governmental or other regulations or otherwise by contract, and/or (ii) the securities of entities that hold, directly or indirectly, such interests including, without limitation, securities convertible into the foregoing, and any securities investments or contracts that may provide a hedge for such investments.
Royalty Assets means any accounts receivables, royalties, milestones, payment intangibles and other financial assets, together with other assets that are customarily transferred, sold and/or pledged in connection with the foregoing, and the proceeds thereof.

More Definitions of Royalty Assets

Royalty Assets as used herein shall mean and include the Assets (defined in Section 2 above), all tailings from the Parking Lot Property, as described in subparagraph 12(b) above, and Non-Venture Opportunities, as described in the last paragraph of subparagraph 12(c) above.
Royalty Assets means (i) those certain royalty interests and other rights and property acquired pursuant to that certain Purchase and Sale Agreement, dated as of August 28, 2013, by and between Ibex Mineral Resources, LLC and Beehive Partners, LLC, as sellers, and Diamondback E&P LLC, as buyer, as such agreement is in effect on the date of the indenture, and (ii) up to a 5% royalty interest in approximately 4,506 net acres in Martin County, Texas acquired by a Subsidiary of the Company on September 4, 2013.

Royalty Assets means royalties, Receivables, payment intangibles and/or revenues from time to time originated, acquired or otherwise owned by the Issuer and its Subsidiaries. “Royalty Intercreditor Agreement” means an intercreditor agreement by and among the Administrative Agent and a Buyer, in form and substance acceptable to the Required Purchasers in their sole and absolute discretion, and acknowledged and agreed to by the Issuer and the Guarantors as the same may be amended, amended and restated, supplemented and otherwise modified from time to time in accordance with the terms thereof, which establishes, among other things, the relative priority of any Liens in any assets of any Credit Parties granted to a Buyer in connection with a Permitted Royalty Transaction or Liens granted to the Administrative Agent in connection with the transactions contemplated by this Agreement and the other Note Documents. “Royalty Sale Transaction” means any transaction consisting of the sale of Royalty Assets (including any so-called synthetic royalty financings). “Royalty Sale Transaction Restrictions” means, with respect to any Royalty Sale Transaction, that such Royalty Sale Transaction, (a) shall not have or provide for any (i) redemption or buy-back obligations or any financial covenants (but, in any event, shall permit the Indebtedness and other Obligations pursuant to the Note Documents), (ii) Lien on any asset of the Issuer or any of its Subsidiaries, except a Back-Up Security Interest in the Royalty Assets and Revenue Participation Right subject to such Royalty Sale Transaction and a Back-Up Security Interest in the Product Collateral, subject to the execution and delivery of a Royalty Intercreditor Agreement, or (iii) negative pledge restricting incurrence of any Lien on any asset of the Issuer or any of its Subsidiaries or other restrictions on making Restricted Payments to any Credit Party, paying Indebtedness or other obligations owed to any
Royalty Assets means the right to receive royalties, milestone payments or any other payment rights under any license, collaboration agreement, strategic alliance or similar arrangement relating to any products or product candidates, and the applicable agreement giving rise to such right to receive payments (whether such agreement or similar arrangement is in existence on the Issue Date or is entered into thereafter).

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Net Sales means [***].

  • Intellectual Property Asset means, at the time of determination, any interest (fee, license or otherwise) then owned by any Credit Party in any Intellectual Property.

  • Inventories means “Inventories” as defined in the Uniform System of Accounts, such as provisions in storerooms, refrigerators, pantries and kitchens, beverages in wine cellars and bars, other merchandise intended for sale, fuel, mechanical supplies, stationery, and other supplies and similar items.

  • Hemp products means all products made from industrial hemp,
