Sanofi Documents means, collectively, (i) that certain Asset Purchase Agreement dated June 27, 2016 by and between Sanofi and Borrower (as amended, supplemented and/or modified and together with all exhibits thereto, collectively, the “S/I APA”), (ii) that certain Master Services Agreement dated July 15, 2016 by and between Sanofi and Borrower (as amended, supplemented and/or modified and together with all exhibits thereto, collectively, the “S/I MSA”), (iii) that certain Special Warranty Deed with Reverter dated July 15, 2016 with Sanofi as the Grantor and Borrower as the Grantee, as filed with the Official Records of the Pima County, Arizona Recorder’s Office on July 15, 2016 (as amended, supplemented and/or modified and together with all exhibits thereto, collectively, the “S/I Warranty and Reverter Deed”), (iv) the Deed of Trust and Assignment of Rents Agreement dated as of July 15, 2016 between Borrower, as Trustor, Sanofi, as Beneficiary and Xxxxxxxx X. Xxxxx as Trustee relating to, among other items set forth therein, the Mortgaged Premises and the building thereon (as amended, supplemented and/or modified and including all exhibits thereto including, but not limited to, Exhibit A thereto, collectively, the “S/I Deed of Trust”), (v) the Transition Services Agreement dated July 15 2016 between Borrower and Sanofi (as amended, supplemented and/or modified and including all exhibits thereto), and (vi) all other agreements, instruments, certificates, documents and related items between, among and/or involving Sanofi and/or its affiliates and Borrower including those set forth in Section 4.2 of the S/I APA.

  • Contractor Documents means one or more document, agreement or other instrument required by Contractor in connection with the performance of the products and services being purchased by the State, regardless of format, including the license agreement, end user license agreement or similar document, any hyperlinks to documents contained in the Contractor Documents, agreement or other instrument and any other paper or “shrinkwrap,” “clickwrap,” “browsewrap” or other electronic version thereof.

  • Third Party Agreements means any Contract between or among a Party (or any member of its Group) and any other Persons (other than the Parties or any member of their respective Groups) (it being understood that to the extent that the rights and obligations of the Parties and the members of their respective Groups under any such Contracts constitute Versum Assets or Versum Liabilities, or Air Products Retained Assets or Air Products Retained Liabilities, such Contracts shall be assigned or retained pursuant to Article II).
