Securities Demand shall remain in effect only until the earlier of (i) the repayment in full of the Credit Facility and the termination of all commitments thereunder and (ii) the termination or expiration of this Commitment Letter prior to the execution and delivery of the Credit Documentation. So long as no borrowings are outstanding under the Credit Facility, the termination of all commitments under this Commitment Letter (prior to the Closing Date) or the Credit Facility (on or after the Closing Date) shall be the sole remedy for breach of this section "Securities Demand."
