Sensitive Payments definition

Sensitive Payments means both receipt and disbursements whether or not illegal, and include:

Sensitive Payments mean any unlawful (a) payment to any physician or other Person in a position to influence referrals of patients to any Healthcare Facility (b) payment to or from any official or employee of any Governmental Authority, (c) commercial bribes or kick-backs, (d) amounts paid with an understanding that rebates or refunds will be made in contravention of the Laws of any applicable jurisdiction, either directly or through a third party, (e) political contributions on behalf of any Company or any Company Subsidiary, and (f) payments or commitments (whether made in the form of commissions, payments of fees for goods or services received, or otherwise) made with the understanding or under circumstances which would indicate that all or part thereof is to be paid by the recipient to an official or employee of any Governmental Authority or as a commercial bribe, influence payment or kick-back.

Examples of Sensitive Payments in a sentence

  • Gifts and Other Sensitive Payments Employees should not seek, accept or offer any gifts or favors of more than minimal value or any preferential treatment in dealings with any client, broker/dealer, portfolio company, financial institution or any other organization WITH WHOM THE FIRM TRANSACTS business.

Sensitive Payments means, with respect to any Person, any unlawful (i) payment to or from any official or employee of any Governmental Authority, (ii) commercial bribes or kick-backs, (iii) amounts paid with an understanding that rebates or refunds will be made in contravention of the Laws of any applicable jurisdiction, either directly or through a third party, (iv) political contributions on behalf of such Person or any of its Subsidiaries, and (v) payments or commitments (whether made in the form of commissions, payments of fees for goods or services received, or otherwise) made with the understanding or under circumstances which would indicate that all or part thereof is to be paid by the recipient to an official or employee of any Governmental Authority or as a commercial bribe, influence payment, or kick-back.
Sensitive Payments shall include, whether legal or illegal, (i) payments to governmental officials or employees, (ii) commercial bribes or kickbacks, and (iii) amounts paid as rebates or refunds or referral fees in contravention of the laws or regulations of any jurisdiction.
