Servicer Fees definition

Servicer Fees means the fee payable to the Servicer on each Payment Date in arrears in respect of each Collection Period, which fee shall be equal to the product of (i) 0.25%, (ii) the aggregate outstanding principal balance of the Loans included in the Collateral Portfolio and (iii) the actual number of days in such Collection Period divided by 360; provided that the Servicer may waive the payment of the Servicer Fee in its sole discretion.

Servicer Fees means the capped fees of the Servicer set out in the Servicing Agreement or, if a Successor Servicer is performing the Services, the fee negotiated at the time of such appointment and payable to the Servicer or Successor Servicer, as the case may be, in accordance with the provisions of the Servicing Agreement and the Trust Agreement.

Servicer Fees means the sum of the Servicing Fee and the Supplemental Servicing Fee.

Examples of Servicer Fees in a sentence

• Unless and until the Backup Servicer or another Person is appointed as Successor Servicer, on the Payment Date relating to the Initial Collection Period and each Payment Date thereafter the Backup Servicer shall be entitled to receive the Backup Servicer Fees in accordance with the terms of the Sale and Servicing Agreement and the Indenture.

More Definitions of Servicer Fees

Servicer Fees means in respect of any Remittance Period, the fees and out of pocket expenses, or the allocable monthly portion thereof relating to such Remittance Period if such fees and expenses are payable less frequently than monthly, payable to the Servicer in respect of its provision of services to the Borrower under the Servicing Agreement (provided, that if the applicable Servicing Agreement so provides, such Servicer Fees may be netted from Collections remittable by the Servicer to the Borrower in accordance with the terms thereunder).

Servicer Fees means annual amount equal to two percent (2%) of the average outstanding principal amount of the Loan, payable in arrears at the end of each Fiscal Quarter (0.5% per Fiscal Quarter, pro rated for partial quarters) to the extent no Event of Default has occurred.

Servicer Fees means, (a) with respect to the Closing Date, 20,000 Reais, and (b) with respect to any Scheduled Payment Date, an amount equal to the sum of (i) 9,000 Reais, or such greater amount to reflect the effects of inflation, as adjusted annually on the anniversary of the Closing Date based upon the ICPA index (Índice Nacional de Preços ao Consumidor Amplo) or any successor thereto, and (ii) any additional amounts that may be necessary to offset the effect of any withholding taxes so that the net amount of the Servicer Fees received by the Servicer reflects the amount in clause (i) hereof after application of any withholding taxes. The Servicer Fees shall be calculated in Dollars but paid in Reais if paid to the Servicer in Brazil.

Servicer Fees. Until the later of the Termination Date and the Relevant Date, for any period during which Exide Funding or an Affiliate of Exide Funding is not the Servicer, Exide Funding will pay the Buyer, upon the demand of the Operating Agent, a servicing fee as determined by the Operating Agent but not exceeding 110% of the fees, costs and expenses, plus value added tax (if applicable), charged by the substitute Servicer incurred in performing such function.

Servicer Fees means, collectively, an annual fee equal to twenty (20) basis points per annum calculated on the then Outstanding Principal Balance, payable in equal monthly installments, and all other amounts required to be paid and/or reimbursed by Borrower pursuant to Section 11.24(a) hereof.
