Servicer Party definition

Servicer Party. At any time, shall include the Servicer, any Person acting as a sub-servicer and all officers, directors, employees and agents of the foregoing.
Servicer Party has the meaning set forth in Section 11.02(a) hereof.

  • For the avoidance of doubt, the Seller (or the Master Servicer) shall only be responsible for the costs of one such annual review and any such review per Servicer Party requested by the Administrative Agent and/or the Purchaser Agents upon the occurrence and during the continuance of a Facility Event or Portfolio Event.

  • The Seller and each Servicer Party shall, at their own cost and expense, maintain satisfactory and complete records of the Pool Receivables, including a record of all payments received and all credits granted with respect to the Pool Receivables and all other dealings with the Pool Receivables.

  • The Seller will not make any change in its business or in the Credit and Collection Policy (other than, with respect to the Credit and Collection Policy, an inconsequential change thereto) that would adversely affect the collectibility of the Pool Receivables or the ability of the Seller or either Servicer Party to perform its obligations under this Agreement.

  • Upon 72 hours notice at any time after the occurrence and during the continuation of a Termination Event, the Seller and each Servicer Party shall deliver and turn over to the Agent or to its representatives, or at the option of the Agent, shall provide the Agent or its representatives with access to, during ordinary business hours, on demand of the Agent, all of the Seller's and such Servicer Party's facilities, personnel, books and records pertaining to the Pool Receivables, including all Records.

  • If the Seller or either Servicer Party shall receive any Collections directly from an Obligor, it shall deposit the same into the Specified Account or, if applicable, a Lock-Box Account within one (1) Business Day of receipt.

  • If a Termination Event shall have occurred and be continuing, promptly upon request therefor, the Seller or such Servicer Party shall deliver to the Agent records reflecting payment activity relating to the Pool Receivables through the close of business on the immediately preceding Business Day.

  • Any such determination permitting the resignation of such Servicer Party shall be evidenced by an Opinion of Counsel to such effect delivered to the Agent.

  • Servicer Affiliate A Person (i) controlling, controlled by or under common control with the Servicer or which is 50% or more owned by the Servicer and (ii) which is qualified to service residential mortgage loans.

  • Servicer means the Master Servicer or the Special Servicer, as the context may require.

  • Master Servicer Servicing Personnel The divisions and individuals of the Master Servicer who are involved in the performance of the duties of the Master Servicer under this Agreement.

  • Master Servicer means the master servicer appointed as provided in the Lead Securitization Servicing Agreement.

  • Sub-Servicer Any Person with which the Master Servicer has entered into a Sub-Servicing Agreement and which meets the qualifications of a Sub-Servicer pursuant to Section 3.02.

  • Special Servicer Servicing Personnel The divisions and individuals of the Special Servicer who are involved in the performance of the duties of the Special Servicer under this Agreement.

  • Subservicer means any Person that services Receivables on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement that are identified in Item 1122(d) of Regulation AB.

  • Back-Up Servicer means Xxxxx Fargo Bank, National Association and its permitted successors and assigns, as provided in the Indenture.

  • Special Servicer means the special servicer appointed to act in such capacity with respect to the Mortgage Loan as provided in the Lead Securitization Servicing Agreement.

  • Backup Servicer means Wxxxx Fargo Bank, National Association, in its capacity as Backup Servicer under this Agreement.

  • Primary Servicer Prudential Asset Resources, Inc., or any successor thereto (as primary servicer) appointed as provided in the Primary Servicing Agreement.

  • Successor Servicer has the meaning specified in Section 3.07(e).

  • Servicer Custodial Account The separate Eligible Account or Accounts created and maintained by the Servicer pursuant to Section 3.08(b).

  • Subservicer Advance Any delinquent installment of principal and interest on a Mortgage Loan which is advanced by the related Subservicer (net of its Subservicing Fee) pursuant to the Subservicing Agreement.

  • FTPS Unit Servicing Agent means FTP Services LLC or any successor FTPS Unit servicing agent appointed as hereinafter provided."

  • Other Servicer Mortgage Loan Any of the Mortgage Loans, if any, identified in Exhibit F-2 hereto, as such Exhibit may be amended from time to time in connection with a substitution pursuant to Sections 2.02 or 2.06, which Mortgage Loan is serviced under an Other Servicing Agreement.

  • Servicer Advance or "Servicing Advance" as defined in the applicable Purchase and Servicing Agreement.

  • Backup Servicer Fee means the fee to be paid to the Backup Servicer as set forth in the Backup Servicing Agreement.

  • CMSA Servicer Watch List means a report substantially in the form of, and containing the information called for in, the downloadable form of the "Servicer Watch List" available as of the Closing Date on the CMSA Website, or in such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CMSA for commercial mortgage securities transactions generally.

  • Other Servicer The applicable other “master servicer” under an Other Pooling and Servicing Agreement relating to a Serviced Companion Loan.

  • Servicer Indemnified Party As defined in Section 8.05(c) of this Agreement.

  • Servicing Agent means, with respect to an eNote, the field entitled, “Servicing Agent” in the MERS eRegistry.

  • Other Master Servicer means the applicable other “master servicer” under an Other Companion Loan Pooling and Servicing Agreement relating to a Non-Serviced Companion Loan or a Serviced Companion Loan, as applicable.

  • Servicer Mortgage File All documents pertaining to a Mortgage Loan not required to be included in the Trustee Mortgage File and held by the Master Servicer or the related Servicer or any Sub-Servicer.

  • Servicer Mortgage Loan File As defined in each of the Servicing Agreements.

  • Master Servicer Remittance Date With respect to any Distribution Date, the Business Day immediately preceding such Distribution Date.
