Services Framework Providers means the providers appointed as Services Framework providers under the Framework Agreement
Services Framework Providers means the Providers appointed as Services Framework Providers under this Framework Agreement;“Specification”means the Commissioner’s requirement for the Services as set out in Schedule 2 as amended from time to time in accordance with the terms of this Framework Agreement;“Staff”means all persons employed by the Provider together with the Provider’s servants, agents, suppliers and sub-contractors used in the performance of its obligations under this Framework Agreement or any Placement Agreement;“Step in”has the meaning set out in Clause 15.2.2 of the Applicable Terms;“Step-in Event”means where: (a) the Commissioner, acting reasonably, considers that a breach by the Provider of any obligation under this Agreement: (ii) may create an immediate and serious threat to the health or safety of any Patients, Staff or persons present at the Units; or(ii) may result in a material interruption in the provision of the Services; or (b) other than as described in Sub-Clause (a) above, the Commissioner considers that in any event there are circumstances that constitute an emergency or create a risk of the circumstances in paragraphs (a) (i) and (ii) above occurring;“Tender”means the tender submitted by the Provider to the Trust on 23rd July 2021;“Term”means the Initial Period plus any Extension under clause 2 and including any period during which Exit Assistance is provided to the Trust and/or the Commissioner (as the case may be);“Transferring Employee”means any employee of the Provider who, as a

  • In the event that the Authority and the Services Framework Provider cannot agree to the changes to the Pricing Matrices, the Authority may:- withdraw the variation; or propose an amendment to the variation In addition to the provisions contained in paragraph 1.2, the Authority may not propose any variation which:- may prevent one or more of the Services Framework Providers from performing its obligations under the Framework Agreement; or is in contravention of any Law.

  • During a Refresh, Existing Services Framework Providers may revise their Prices downwards, but are not permitted to revise their Prices upwards , except where a Refresh Date falls in April (effective from April, 2023), where Existing Services Framework Providers may revise their Prices upwards as part of the annual price review (subject to a financial appraisal as to the sustainability of the proposed Prices and the provisions in Appendix 1 to this Schedule 4).

  • The Authority shall have the right to terminate this Framework Agreement, or to terminate the provision of any part of the Framework Agreement at any time by giving at least three (3) Months' written notice to the Prime Contractor and all other Services Framework Providers.

  • Where an adverse variation is highlighted, deviant Services Framework Providers are to be given an appropriate time to make the appropriate commercial amendments.

  • Services Provider means a provider of telecommunications services or other services similar to the Services, including O2 or an O2 Affiliate or any direct or indirect supplier of O2 or an O2 Affiliate;

  • Network Provider means a provider of health care, or a group of providers of health care, which has entered into a written agreement with the issuer to provide benefits insured under a Medicare Select policy.

  • Services Contract means an agreement for the provision of Services entered into with a Provider by one or more of the Partners in accordance with the relevant Individual Scheme. Service Users means those individual for whom the Partners have a responsibility to commission the Services. SOSH means the Secretary of State for Health.

  • Service Management System (SMS) means an off-line system used to access, create, modify, or update information in a Database.

  • Non-Network Provider means any hospital, day care centre or other provider that is not part of the network.

  • Client services means services provided directly to agency

  • Support Services means support in relation to the use of, and the identification and resolution of errors in, the Hosted Services, but shall not include the provision of training services;

  • Implementation Services has the meaning set forth in Section 2.1.

  • ACS means “asset-controlling supplier” as that term is defined in the Cap and Trade Regulations.

  • Transition Services Agreement means the transition services agreement substantially in the form attached hereto as Exhibit B.

  • Corporate Services Provider means Computershare Trust Company of Canada, a trust company formed under the laws of Canada, as corporate services provider to the Liquidation GP under the Corporate Services Agreement, together with any successor corporate services provider appointed from time to time;

  • Education Services means training services performed or delivered by Company.

  • Service Level Agreements means an agreement between NZX and a Market Participant and/or an Advisor setting out the terms and conditions of use of NZX technology and services;

  • Procurement Services shall refer to a business unit of OGS, formerly known as New York State Procurement (“NYSPro”) and Procurement Services Group (“PSG”).

  • Banking Services Provider means any Lender (other than a Defaulting Lender) or Affiliate of a Lender (other than a Defaulting Lender) that provides Banking Services to any Credit Party.
