Exit Assistance definition

Exit Assistance means the provision of advice, training, assistance, information, data (and format thereof) and actions as are reasonably requested by the Replacement Administering Authority to effect a smooth transfer (and continued operation) of any of the Administering Authority Obligations from the control and provision of the Outgoing Administering Authority to the Replacement Administering Authority;
Exit Assistance means the assistance to be provided as specified in paragraph 7.1 (General);
Exit Assistance means the provision of advice, training, assistance, information, data (and format thereof) and actions as are reasonably requested by the Replacement Host Authority to effect a smooth transfer (and continued operation) of any of the Host Authority Obligations from the control and provision of the Outgoing Host Authority to the Replacement Host Authority;

Examples of Exit Assistance in a sentence

  • Unless otherwise agreed in writing, such Charges shall be in accordance with the Supplier’s day rates applicable to Services provided on a time and materials basis as set out in the Supplier’s Standard Charges Document, together with Charges for all Supplier costs relating to the provision of any Exit Assistance, including the cost of obtaining and/or renewing any software licences.

  • The Supplier shall then perform any Exit Assistance in accordance with such exit plan.

  • The Authority shall be entitled to require the provision of Exit Assistance by notifying the Contractor in writing ("Exit Assistance Notice") at any time (and in any number of such notices) during the Exit Period.

  • If the Agreement expires or is terminated due to a breach by UBS, or is terminated by UBS without cause, Supplier shall be entitled to charge UBS for Exit Assistance on the basis of the rates set out in the Supply Order or the Exit Plan, and if no specific rates were agreed, based on Supplier’s standard rate card.

  • Exit Assistance shall, unless expressly agreed otherwise, continue for such period as UBS may specify, subject to a maximum of eighteen (18) months following the date of termination or expiration of the Agreement.


More Definitions of Exit Assistance

Exit Assistance means the services, responsibilities and obligations which will be undertaken by JV Co pursuant to this Schedule and/or the Exit Management Plan for the time being applicable to facilitate the smooth transfer of all or part of the Services from the JV Co to the Authority and/or to a Future Provider and which shall at least be sufficient to comply with the requirements of this Agreement (including without limitation this Schedule and clauses 25 and 55) including Core Exit Assistance and Additional Exit Assistance;
