Settlement Amounts definition

Settlement Amounts has the meaning set forth in Section 2.2.
Settlement Amounts means, collectively, the Seller Note Holders Settlement Amount and the Equity Holders Settlement Amount.
Settlement Amounts shall have the meaning set forth in Section 3.5.

Examples of Settlement Amounts in a sentence

  • Givex will notify Merchant once it exercises its right to withhold the Settlement Amounts.

  • Processor, acquiring banks, or other financial institutions holding the Merchant Payment Account may also require a holding period before the settlement of the Settlement Amounts to the Merchant Bank Account.

  • Settlement Amounts will be paid to Merchant only if the Merchant Payment Account is active and in full compliance with this Terms and Conditions and the Processor Terms.

Settlement Amounts has the meaning given to it in clause 2.3.1(iii);

Settlement Amounts means any relief afforded by the Settlement, as tentatively agreed and as preliminarily and finally approved, including the establishment of a $15,000,000 claims fund from which (i) a maximum of $5,000,000 shall be set aside for class counsel attorneys’ fees and expenses; (ii) an amount not to exceed $2,500,000 shall be set aside as a guaranteed class pay-out; and (iii) an amount not to exceed $7,500,000 shall be set aside and used to satisfy class claims that exceed in aggregate the guaranteed $2,500,000 class pay-out, and which shall include a reversion interest for any unclaimed balance in favor of Parent or the Company.
Settlement Amounts means the Initial Settlement Amount, and the additional amounts described in Section III.3.
Settlement Amounts means the daily amounts resulting from clearing Card Sales, including sales volume, representments, any taxes collected and other agreed upon credits, minus Chargebacks, Refunds, any agreed upon fees and other agreed upon debits.
