Share Collateral definition

Share Collateral means all present and future Shares beneficially owned by the Chargor, and/or any substitute or additional Shares thereof from time to time, while any Secured Obligations are outstanding.
Share Collateral shall have the meaning provided in Section 7.11(b).
Share Collateral means (i) the shares of Common Stock deposited with the Collateral Trustee on the Issue Date as described in the Collateral Trust Agreement and (ii) any Stock Replacement Collateral, in each case together with (x) any additional Common Stock deposited to be held in trust as Collateral in accordance with Section 3.9 or Section 3.10 and (y) any substituted Common Stock deposited to be held in trust as Collateral in accordance with the Collateral Trust Agreement.

  • As of the Effective Time, JMY and JT shall collectively own one hundred percent (100%) of the issued and outstanding shares of IPCo and shall have good and marketable title to the IPCo Share Collateral free and clear of all Liens other than the Legal Mortgage of IPCo Shares.
