Initial Share definition

Initial Share has the meaning set forth in paragraph 2.7.

Initial Share or “Initial Shares” has the meaning given to it above;

Initial Share has the meaning ascribed thereto on the face page of this Agreement;

Examples of Initial Share in a sentence

• The Acquiring Fund will redeem and cancel such Initial Share immediately prior to the Closing in exchange for an amount equal to the consideration received by the Acquiring Fund for such Initial Share so that the Acquiring Fund will own no assets at the time of the Closing.

• On the Initial Share Delivery Date, Dealer shall deliver to Counterparty the Initial Shares.

• Before the Closing Date, (i) there will be no issued and outstanding shares in the Acquiring Fund or any other securities issued by the Acquiring Fund, after taking into account the redemption and cancellation of the Initial Share, and (ii) the Acquiring Fund will not have outstanding any options, warrants or other rights to subscribe for or purchase any Acquiring Fund shares, nor will there be outstanding any security convertible into any Acquiring Fund shares.

• On the Initial Issue Date, the Number of Reserved Shares is not less than the Initial Share Reserve Requirement.

• On the Initial Share Delivery Date, BofA shall deliver to Counterparty the Initial Shares.

Initial Share has the meaning given to it above;

Initial Share means a Share comprising 12.50% (twelve point five) per cent. of the Charter capital of the Company calculated post Initial Investment on the Fully Diluted basis to be acquired by the Corporation at Completion in exchange for the Initial Investment having a nominal value of RUR 5,830.90;

Initial Share shall be 20% of the Senior Indebtedness as of the date of the last Senior Payment Default unless there have been a continuous series of Senior Payment Defaults, in such case the Initial Share shall be computed as of the first date in the series of Senior Payment Defaults.

Initial Share means all that 1 ordinary share of HK$1 in the Company representing the only issued share of the Company registered in the name of and beneficially owned by the Chargor as of the date of this Deed and indicated by share certificate numbered 2.
