However, if you do not instruct your broker, bank, trust company or other nominee how to vote your Exscientia ADSs, it is expected that your Exscientia ADSs will not be voted by your broker, bank, trust company or other nominee on your behalf or counted for purposes of calculating the proportion of votes “FOR” and “AGAINST” the Proposals at the Exscientia Shareholder Meetings.
The Chairman shall select a person to act as the Secretary for the Meeting and that person will ensure that an adequate and accurate record of Shareholder Meetings is made and kept.
