Shares at Risk means RSU Shares subject to Transfer Restrictions. The following capitalized terms are used in this Award Agreement with the meanings that are assigned to them in the Plan.

Examples of Shares at Risk in a sentence

  • Notwithstanding the foregoing, if the applicable withholding rate at delivery of Shares underlying your PSUs equals or exceeds %, all of the Shares delivered to you after the application of the withholding will be Shares at Risk.

  • You understand and agree that, in the event of your termination of Employment while you continue to hold Outstanding Vested PSUs[and/or Shares at Risk,] you may be required to certify, from time to time, your compliance with all terms and conditions of the Plan, the SIP and this Award Agreement.

  • In the discretion of the Committee, delivery of Shares[(including Shares at Risk)] may be made initially into an escrow account meeting such terms and conditions as are determined by the Firm and may be held in that escrow account until such time as the Committee has received such documentation as it may have requested or until the Committee has determined that any other conditions or restrictions on delivery of Shares required by this Award Agreement have been satisfied.

  • In addition, Mr. Gnodde’s year-end RSUs (and, in certain cases, underlying Shares at Risk) are subject to several recapture provisions mandated by U.K. regulations.

  • The provisions of Section 2.6.3 of the Plan (which require Grantees to repay to the Firm amounts delivered to them if the Committee determines that all terms and conditions of this Award Agreement in respect of such delivery were not satisfied) shall apply to this Award which, for the avoidance of doubt, includes all amounts received under this Award, including Shares at Risk, dividends and payments under Dividend Equivalent Rights.

Related to Shares at Risk

  • Incentive Shares means an award of shares granted pursuant to Section XIII.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Reserved Shares means initially, [ ] Shares. The Reserved Shares may be increased or decreased in a Supplemental Confirmation.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Plan Shares means the total number of Common Shares which may be reserved for issuance as Optioned Shares under the Plan as provided in §2.2;

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • DSUs means the deferred share units granted under the DSU Plan;

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Shares means the interests of Shareholders corresponding to the redeemable securities of record issued by the Fund under the Investment Company Act of 1940 that are held by the Intermediary.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Returning Shares means shares subject to outstanding stock awards granted under the Prior Plan and that following the Effective Date: (A) are not issued because such stock award or any portion thereof expires or otherwise terminates without all of the shares covered by such stock award having been issued; (B) are not issued because such stock award or any portion thereof is settled in cash; (C) are forfeited back to or repurchased by the Company because of the failure to meet a contingency or condition required for the vesting of such shares; (D) are withheld or reacquired to satisfy the exercise, strike or purchase price; or (E) are withheld or reacquired to satisfy a tax withholding obligation.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Article 7.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Unsubscribed Shares means the Rights Offering Shares that have not been duly purchased by the Rights Offering Participants in accordance with the Rights Offering Procedures and the Plan.

  • Per Share Stock Consideration has the meaning set forth in Section 3.01(a)(i).

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).
