Site and Facilities definition

Site and Facilities means the real property described as the Site and Facilities in Exhibit A to this Lease, including all buildings and improvements thereon as of the Closing Date, as the Site and Facilities may be substituted or modified from time to time in accordance with this Lease.

Site and Facilities means the real property (including all existing improvements thereon) described in Exhibit A to the Lease Agreement, as such Exhibit A may be revised and amended from time to time pursuant to the terms of the Lease Agreement.

Examples of Site and Facilities in a sentence

  • In making such determination, consideration has been given to the estimated fair market value of the Site and Facilities, other obligations of the parties under this Lease, the uses and purposes which may be served by the Site and Facilities and the benefits therefrom which will accrue to the City and the general public.

  • No consent or approval of any Lender or holder of any indebtedness of the City or of the voters of the City, and no consent, permission, authorization, order or license of, or filing or registration with, any governmental authority is necessary in connection with the execution and delivery of this Lease, the Site and Facilities Lease and the Assignment Agreement, or the consummation of any transaction herein or therein contemplated, except as have been obtained or made and as are in full force and effect.

  • Notwithstanding the foregoing, the Corporation shall have the right to inspect the Site and Facilities as provided in Section 7.2.

  • Throughout the Term of this Lease, the Corporation shall provide the City with quiet use and enjoyment of the Site and Facilities and the City shall peaceably and quietly have and hold and enjoy the Site and Facilities, without suit, trouble or hindrance from the Corporation, except as expressly set forth in this Lease.

  • All Net Proceeds received from the re-lease of the Site and Facilities under this Article VIII, and all other amounts derived by the Corporation or the Lender as a result of the occurrence of an Event of Default, shall be transferred to the Lender promptly upon receipt thereof.

  • All additions, modifications and improvements to the Site and Facilities shall thereafter comprise part thereof and be subject to the provisions of this Lease.

  • The parties hereto have agreed and determined that the total Lease Payments and Additional Rental Payments represent the fair rental value of the Site and Facilities.

  • The Site and Facilities are not located in a 100-year flood zone and has never been subject to material damage from flooding.

  • No consent or approval of any Lender or holder of any indebtedness of the Corporation, and no consent, permission, authorization, order or license of, or filing or registration with, any governmental authority is necessary in connection with the execution and delivery of this Lease, the Site and Facilities Lease, or the Assignment Agreement, or the consummation of any transaction herein or therein contemplated, except as have been obtained or made and as are in full force and effect.

  • The Lease Payments and Additional Rental Payments during each Fiscal Year shall constitute the total rental for the Site and Facilities for such Fiscal Year, and shall be paid by the City in each Fiscal Year for and in consideration of the right of the use and occupancy of, and the continued quiet use and enjoyment of the Site and Facilities during each Fiscal Year.

Related to Site and Facilities

  • Common Areas and Facilities means collectively the Development Common Areas and Facilities and the Residential Common Areas and Facilities and all those parts and such of the facilities of the Development designated as common areas and facilities in any Sub-Deed;

  • Generating Facilities means Interconnection Customer’s device for the production and/or storage for later injection of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities. Generation Interconnection Customer:

  • Generating Facility means the Generating Unit(s) comprising Seller’s power plant, as more particularly described in Section 1.02 and Exhibit B, including all other materials, equipment, systems, structures, features and improvements necessary to produce electric energy and thermal energy, excluding the Site, land rights and interests in land.

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • Interconnection Facilities means the Transmission Owner Interconnection Facilities and the Customer Interconnection Facilities.

  • Manufacturing Facilities means facilities engaged in the mechanical or chemical transformation of materials or substances into new products and shall include:

  • Facilities means the Plant and Equipment to be supplied and installed, as well as all the Installation Services to be carried out by the Contractor under the Contract.

  • Authorized Facilities means the public facilities authorized to be financed, in whole or in part, by the CFD.

  • Project site, where applicable, means the place indicated in bidding documents.

  • Generation Interconnection Facilities Study means a Facilities Study related to a Generation Interconnection Request.
