Site Services Agreements definition

Site Services Agreements means the agreements between Weyerhaeuser and Newco pursuant to which Weyerhaeuser and Newco shall agree to provide the goods and services set forth in Section 9.03 of the Weyerhaeuser Disclosure Letter under the heading “Site Services Agreements” under the terms and subject to the conditions set forth therein.

Site Services Agreements means the Site Services Agreements effective as of April 1, 2019, by and between members of the SpecCo Group, MatCo Group and/or AgCo Group, as applicable and as listed on Schedule 1.1(281) .

Site Services Agreements means the agreements to be entered into between Seller and Purchaser in substantially the form set forth in Exhibit B pursuant to which Seller and Purchaser shall agree to provide the goods and services described therein.

Examples of Site Services Agreements in a sentence

• Subject to Section 7.01(h), on or prior to the Closing Date, the parties shall negotiate in good faith and enter into (i) the Transition Services Agreement providing for services in accordance with the terms and subject to the conditions in Exhibit E, and (ii) the Fiber Supply Agreements and the Site Services Agreements, in each case providing for the goods and services and in accordance with the terms and subject to the conditions set forth in Section 9.03 of the Weyerhaeuser Disclosure Letter.

• As soon as reasonably practicable after the date of this Agreement, but in any event prior to Closing, the parties will cooperate in good faith to define with greater specificity the services outlined on Exhibit “A”s to the Site Services Agreements and confirm the costs associated with such services.

• The parties acknowledge and agree that the services to be provided under the Services Agreements (other than the Site Services Agreements) are intended to facilitate the transition of the DPC Business to an independent entity on a basis consistent with the Day One Operating Model (as defined in the IT Administrative Services Agreement).

• This Section 4.07 will not apply to any breach following the Effective Time of the Transaction Agreement, the Tax Sharing Agreement, the Intellectual Property License Agreement, the Site Services Agreements, the Fiber Supply Agreements and the Transition Services Agreement.

• Affiliates cannot be Members or Associate Members, or appointed representatives of Members or Associate Members, and must be engaged in business activity that complements or helps fulfill the TPC's mission.

More Definitions of Site Services Agreements

Site Services Agreements means the Site Services Agreements effective as of April 1, 2019, by and between members of the SpecCo Group, MatCo Group and/or AgCo Group, as applicable and as listed on Schedule 1.1(281).
