Software Maintenance Fee definition

Software Maintenance Fee means the Maintenance Fee payable under the Software Maintenance Agreement.
Software Maintenance Fee. The monthly maintenance fee, i.e., $________, shall compensate for the continuing maintenance of those components of the Developed Software and/or the OSS FORUMS Software built into the R/M Customized Software and for regular upgrades, enhancements, modifications, and expansions for keeping the site competitive and state of the art. Such monthly maintenance fee to be paid to OSS or the entity providing maintenance, upgrade, and enhancement services for such components of the Developed Software and OSS FORUMS Software.
Software Maintenance Fee shall be the amount payable by Konica Minolta to Vendor in consideration for Secondary Support services under this Agreement and the Services Agreement.

  • Any such termination by Licensee shall be without refund of any License Fee, Service Fee, Software Maintenance Fee, or any other amount paid, paid in advance, or then due and payable to Licensor.

  • If the Software Maintenance Fee is not paid on the due date, the Licensor may suspend or terminate the Software Maintenance Service and is entitled to claim legal interest for the period of the delay.

  • In consideration of the Maintenance services to be provided for the Initial Term, Customer shall payto equivant the applicable amount set forth in the Software Maintenance Fee Schedule attached hereto as Schedule 1.

  • The first annual Software Maintenance Fee shall be due upon the Effective Date, and shall be pro-rated on a daily basis using a 365-day year.

  • The Software Maintenance Fee due under this Agreement shall also be modified in writing to include a prorated amount of the annual maintenance fee for the Additional Software covering the term remaining under then current term of this Agreement.

Software Maintenance Fee has the meaning set forth in Exhibit G (Software Support and Maintenance Agreement).

Related to Software Maintenance Fee

  • Software Maintenance means the process of modifying software after delivery to correct faults, improve performance or other attributes, or adapt to a changed environment. (Reference ISO/IEC 14764:2006, as amended or superseded.) Software maintenance does not include any customization or configuration.

  • Maintenance Fee means any fee, obligation, or

  • Maintenance Fees means the non-refundable fees payable annually by Licensee to OT for Support Services;

  • License Fee means the amount payable by the licensee to DMRC as per rates offered by the Selected Bidder for utilization of licensed space and accepted by DMRC to be paid by the Licensee along with other charges and any kind of Central or State Taxes, local levies, statutory dues, etc. that may be payable by the licensee as per prevalent law.

  • Computer software maintenance contract means a contract that obligates a seller of computer software to provide a customer with:

  • Furniture maintenance product means a wax, polish, conditioner, or any other product designed for the purpose of polishing, protecting or enhancing finished wood surfaces other than floors. Furniture maintenance product does not include: dusting aids; wood cleaners, and products designed solely for the purpose of cleaning; and products designed to leave a permanent finish such as stains, sanding sealers and lacquers.

  • Monthly Maintenance Statement shall have the meaning set forth in Clause 19.6;

  • License Fees means the license fees, including all taxes thereon, paid or required to be paid by Licensee for the license granted under this Agreement.

  • Routine maintenance means actions performed on a regular or controllable basis or in response to uncontrollable events upon a highway, road, street, or bridge. Routine maintenance includes, but is not limited to, 1 or more of the following:

  • Support and Maintenance Services means the support and maintenance services described in Section 1 of these Support Terms.

  • Operation and Maintenance Costs means the costs of:

  • Maintenance and Support Services means the services provided by Contractor under Appendix F.

  • Deferred Maintenance means improvements necessary for continued operations, which do not improve productivity or alter the process technology.

  • Scheduled Maintenance means any adjustment, repair, removal, disassembly, cleaning, or replacement of components or systems required by the manufacturer which is performed on a periodic basis to prevent part failure or equipment or engine malfunction, or anticipated as necessary to correct an overt indication of malfunction or failure for which periodic maintenance is not appropriate.

  • Maintenance Term means the period of time for which Customer has purchased Maintenance Services, as evidenced by the Purchase Order delivered by Customer in connection therewith, together with all renewals effected in accordance with Section 4 of this Agreement.

  • Developer Fee means the fee earned by the Developer.

  • Maintenance Services means SAP’s then-current maintenance and/or support services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Sublicense Fees shall have the meaning set forth in Section 7.3 below.

  • Operation and Maintenance Expenses or ‘O&M expenses' means the expenditure incurred on operation and maintenance of the project, or part thereof, and includes the expenditure on manpower, repairs, spares, consumables, insurance and overheads;

  • Yield Maintenance Charge With respect to any Mortgage Loan or Serviced Companion Loan, the yield maintenance charge or prepayment premium, if any, payable under the related Note in connection with certain prepayments.

  • Maintenance Costs means parts and materials, sublet and labour costs of a qualified licensed mechanic for the maintenance of the Revenue Service Vehicles, but shall not include costs associated with interior and exterior transit advertising signs and non-mechanical servicing of Revenue Service Vehicles such as fuelling, clearing fareboxes, cleaning and painting wheel rims, vehicle washing and other work performed by a serviceman; and,

  • Licence Fees the fees to be paid by the Licensee to HKEX-IS pursuant to clause 5.2.

  • Retail Service and Maintenance Sector Means the service and maintenance of retail facilities which includes financial institutions, retail businesses, schools and hospitals but does not include commercial premises as defined.

  • Maintenance Release means any update, upgrade, release or other adaptation or modification of the Software, including any updated Documentation, that Contractor may generally provide to its licensees from time to time during the Term, which may contain, among other things, error corrections, enhancements, improvements or other changes to the user interface, functionality, compatibility, capabilities, performance, efficiency or quality of the Software.
