Sole Invention definition

Sole Invention means any Invention invented or discovered solely by or on behalf of a Party (or its Affiliate) and its employees, contractors and/or agents.
Sole Invention has the meaning set forth in Section 10.3.
Sole Invention shall have the meaning set forth in Section 13.1(b).

Examples of Sole Invention in a sentence

  • Each Party shall notify the other Party promptly of each Sole Invention or Joint Invention made by such Party.

  • Each Party shall promptly disclose to the other Party in writing any Invention disclosures, or other similar documents, submitted to it by its employees, agents, or independent contractors describing each and every Invention that may be either a Sole Invention or a Joint Invention, and all Information relating to such Invention.

  • Without limiting the foregoing, no party hereto shall have any obligation or liability under any agreement by which another party (the “Licensing Party”) licenses or sublicenses a Sole Invention of the Licensing Party or the Licensing Party’s interest in a Joint Invention.

  • Each Party shall provide to the other Party such assistance and execute such documents as are reasonably necessary to permit the filing and prosecution of any Patent to be filed on such Sole Invention or Joint Invention, or the issuance, maintenance or extension thereof.
