Special Tooling definition

Special Tooling means jigs, dies, fixtures, molds, patterns, taps, gauges, and all components of these items, including foundations and similar improvements necessary for installing special tooling, and which are of such a specialized nature that without substantial modification or alteration their use is limited to the development or production of particular supplies or parts thereof or to the performance of particular services. Special tooling does not include material, special test equipment, real property, equipment, machine tools, or similar capital items.
Special Tooling. The term “special tooling” as used in this clause shall be deemed to include all jigs, dyes, fixtures, molds, patterns, special cutting tools, special gouges, special test equipment and the like acquired or manufactured or used in the performance of the Contract, which are of such a specialized nature that without substantial alteration, their use is limited to the production of the Goods or parts thereof or performance of the Services of the type required by the Contract. Supplier agrees that special tooling shall be retained and not used or reworked except for performance of work hereunder or as authorized in writing by Xxxxx. While Supplier is in possession or control, Supplier warrants that it will keep the special tooling in good condition fully covered by insurance, and will replace it when lost, destroyed or necessary for work hereunder. Upon cessation or termination of the work, under the specific order for which the special tooling is required, Supplier shall furnish Buyer a list of the products, parts or services for the manufacture or performance of which such special tooling was used or designed and the list indicating where each item of the special tooling is located and shall transfer title to and possession to the special tooling to Buyer for an amount equal to the unamortized cost thereof or dispose thereof as Buyer may direct in writing. In addition, Xxxxx shall have the right to take possession of, including the right of entry for such purpose, any special tooling, title to which Xxxxx acquires hereunder without any additional liability whatsoever to Supplier.
Special Tooling means all patterns, dies, fixtures, molds, jigs, models, gauges, inspection devices, special cutting tools, special test devices, drawings, templates and any replacements thereof, which, before the date hereof, Seller did not own or use and which Seller has been or will be required to acquire and use solely for purposes of furnishing Products hereunder, but excludes tools, capital items or property owned or furnished by Buyer. Prior written approval for purchase of any Special Tooling is required, and such request shall detail each item and its price. Seller shall use all Special Tooling solely for performance of the Order or as Buyer directs in writing, maintain Special Tooling in good condition, fully covered by insurance, and replace it at Seller's cost if lost, stolen, destroyed, or otherwise rendered unfit for use. Seller shall permit inspection and supply Buyer with detailed statements of Special Tooling upon request. Upon completion, cancellation, or termination of work for which Special Tooling is required, Seller shall list Products and the Special Tooling used in connection therewith, including the unamortized cost and fair market value of each item, and shall in writing if Buyer so elects, transfer possession and title of the Special Tooling to Buyer, free and clear of liens and encumbrances, in exchange for the lesser of the unamortized cost or fair market value of the tooling. Buyer may dispose of Special Tooling without taking possession thereof and receive any resulting salvage or resale revenues and may enter Seller's premises to obtain possession of any Special Tooling.

Examples of Special Tooling in a sentence

  • Seller shall use all Special Tooling solely for manufacturing Products as specified by Buyer in writing.

  • Unless approved in writing by Buyer, Seller shall not remove or relocate any Special Tooling from Seller’s facilities, make any changes to Special Tooling, or reverse engineer any Special Tooling.

  • Seller shall maintain Special Tooling in good condition and replace it at Seller's cost if lost, damaged, destroyed, or otherwise rendered unfit for use.

  • In order to define the obligations of the parties under this clause, title to each item of facilities, special test equipment and special tooling (other than that subject to a "Special Tooling" clause) acquired by the contractor for the Exchange pursuant to this contract shall pass to and vest in the Exchange when its use in the performance of this contract commences, or upon payment therefore by the Exchange, whichever is earlier, whether or not title previously vested.

  • Such Special Tooling shall be and remain Seller's property notwithstanding payment of any charges by Buyer.


More Definitions of Special Tooling

Special Tooling means unique tools, dies, jigs, fixtures, molds, taps, gauges, test equipment, and patterns which Seller may use to perform under the Order.
Special Tooling means all special tools, tooling, tooling aids, jigs, dies, special dies, molds, fixtures, drawings, designs, patterns and similar items acquired or utilized by Seller to produce any materials for Buyer. All Special Tooling and any other property that is paid for by Buyer or its customer and/or furnished to Seller by Buyer or its customer and/or made available to Seller by Buyer or its customer ("Buyer Provided Special Tooling") is and shall remain the property of Buyer or its customer. Buyer shall also have the right (at its option) to purchase at cost at any time all Special Tooling that does not qualify as Buyer Provided Special Tooling ("Other Special Tooling"), and upon Buyer electing or agreeing to purchase any Other Special Tooling, such Other Special Tooling shall become Buyer Provided Special Tooling. Buyer may condition its purchase of Other Special Tooling upon Buyer accepting, as conforming to requirements hereunder, the first run of parts made by the use thereof and until Seller has furnished to Buyer an itemized list of such Other Special Tooling and such records as may be necessary to enable Buyer to audit the cost thereof. Seller shall (i) be responsible for all losses or damages to Special Tooling while in its possession, and insure all Special Tooling against loss or destruction, in an amount equal to the full replacement cost thereof, at all times while in Seller's possession; (ii) xxxx and number all Special Tooling to correspond to the number of the part made by use thereof; (iii) keep all Special Tooling in good working order, and to the extent necessary repair and/or replace such Special Tooling; (iv) not modify any Special Tooling in any way without Buyer prior written consent;

It does not include material, special test equipment, facilities (except foundations and similar improvements necessary for installing special tooling), general or special machine tools, or similar capital items. Special tooling, for the purpose of this clause, does not include any item acquired by Seller before the effective date of this contract, or replacement of such items, whether or not altered or adapted for use in performing this contract, or items specifically excluded by the Schedule of this contract.
