Stock Price Condition definition

Stock Price Condition shall have the meaning specified in Section 14.01(b)(iv).
Stock Price Condition means and be satisfied if and only if the daily volume-weighted average price (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by the Holder and the Company) on The NASDAQ Global Select Market of the Common Stock (“VWAP”) exceeds 100% of the then applicable Conversion Price for twenty Trading Days (whether or not consecutive) during the period of thirty consecutive Trading Days ending on, and including, the Trading Day immediately before the Conversion Dare for such Mandatory Conversion; provided that such thirty Trading Day period shall not commence prior to the 36-month anniversary of the Closing Date.
Stock Price Condition has the meaning specified in Section 5.01(c).

Examples of Stock Price Condition in a sentence

  • The Modified Stock Price Condition is determined based on the date of the Triggering Event, as shown on the chart below.

  • In the event that a Triggering Event occurs, all Units that have not previously been forfeited will no longer be subject to the Stock Price Condition, but will instead be subject to the Modified Stock Price Condition as described below.

Stock Price Condition means, as of the date of determination, the occurrence of the following conditions as certified by an Authorized Officer in a certificate in form and substance reasonably acceptable to the Administrative Agent and including reasonable back-up details: (x) during any 30 consecutive trading days on the NYSE (i) the average of the daily closing prices of the Class A Shares exceeded $20.00 and (ii) the daily closing prices of Class A Shares exceeded $20.00 for at least 10 consecutive trading days during such 30 day period; (y) no Default or Event of Default has occurred and is continuing; and (z) a registration statement with respect to the Class A Shares issued in connection with the Warrants held by the Lenders or any of their Affiliates shall have been approved by the SEC and shall be effective to permit the holders of such Class A Shares to trade such shares on the NYSE.

  • Trading Price Condition shall have the meaning specified in Section 14.01(b)(i).

  • Conversion Floor Price Condition means that the relevant Alternate Conversion Price is being determined based on clause (x) of such definitions.

  • Condition Satisfaction Date shall have the meaning set forth in Section 7.2.

  • Closing Stock Price means the average closing price of one share of Common Stock for the twenty consecutive trading days that include and immediately precede the last day of the Performance Period.

  • Acceptance Condition means the acceptance condition to any Offer;

  • VWAP Minimum Price Threshold means, with respect to any particular VWAP Purchase Notice, the Sale Price on the VWAP Purchase Date equal to the greater of (i) 80% of the Closing Sale Price on the Business Day immediately preceding the VWAP Purchase Date or (ii) such higher price as set forth by the Company in the VWAP Purchase Notice.

  • Qualifying condition means a condition described in Section 26-61a-104.

  • Parent Closing Price means the volume weighted average closing trading price of a share of Parent Common Stock on Nasdaq for the five consecutive trading days ending five trading days immediately prior to the date upon which the Merger becomes effective.

  • Ending Stock Price means the average of the closing price of the applicable stock for the 90 calendar days up to and including the last day of the Performance Period.

  • Equity Conditions Measuring Period means each day during the period beginning twenty (20) Trading Days prior to the applicable date of determination and ending on and including the applicable date of determination.

  • Common Stock Price means, with respect to the Company and each of the Peer Companies, as of a particular date, the average of the Fair Market Value over the 15 consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price of a share of common stock as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Make-Whole Acquisition Stock Price means the consideration paid per share of Common Stock in a Make-Whole Acquisition. If such consideration consists only of cash, the Make-Whole Acquisition Stock Price shall equal the amount of cash paid per share of Common Stock. If such consideration consists of any property other than cash, the Make-Whole Acquisition Stock Price shall be the average of the Closing Price per share of Common Stock on each of the 10 consecutive Trading Days up to, but not including, the Make-Whole Acquisition Effective Date.

  • Additional Accelerated Purchase Minimum Price Threshold means, with respect to an Additional Accelerated Purchase made pursuant to Section 2(c) hereof, any minimum per share price threshold set forth in the applicable Additional Accelerated Purchase Notice.
