Subject Options definition

Subject Options means that number of Options set forth on the Securityholder’s signature page attached to this Agreement, being all of the Options owned legally or beneficially by the Securityholder or over which the Securityholder exercises control or direction;
Subject Options means that number of Options set forth on the Shareholder's signature page attached to this Agreement, if any, being all of the Options owned legally or beneficially by the Shareholder or over which the Shareholder exercises control or direction, either directly or indirectly, and shall further include any Options issued to or otherwise acquired by the Shareholder after the date hereof;
Subject Options means that number of Options set forth in Schedule A, being all of the Options owned legally or beneficially by the Securityholder or over which the Securityholder exercises control or direction;

Examples of Subject Options in a sentence

  • As of the date hereof, Company Stockholder does not own, beneficially or otherwise, any Company Common Stock, Company Options or other securities of the Company other than the Subject Shares, Subject Options, Subject RSUs and Subject PSUs described in this Section 2.2.

  • As of the date hereof, Company Stockholder is the record or beneficial owner (as defined in Rule 13d-3 promulgated under the Exchange Act) of, and has good title to, the Subject Shares and the Subject Options, free and clear of all claims, liens, encumbrances and security interests of any nature whatsoever (including any restriction on the right to transfer such Subject Shares), except as provided hereunder or pursuant to any applicable restrictions on transfer under the Securities Act.

  • Each Company Shareholder enters into this Agreement solely in its capacity as the record or beneficial owner of its Subject Shares and Subject Options.

  • Notwithstanding any Transfer of Subject Shares or Subject Options, the transferor shall remain liable for the performance of all of the obligations of the applicable Company Shareholder under this Agreement, except for any such Transfer pursuant to the Merger Agreement or the Offer.


More Definitions of Subject Options

Subject Options means all Reunion Gold Options which the Reunion Gold Securityholder owns, beneficially or of record, directly or indirectly, or exercises control or direction over, the particulars of which are set forth in Schedule A;
Subject Options means all GMIN Options which the GMIN Securityholder owns, beneficially or on record, directly or indirectly, or exercises control or direction over, the particulars of which are set forth in Schedule A;
Subject Options means the Medco Stock Option and any additional options or other rights to purchase common stock or other securities granted on or after the date hereof to the Employee by the Company and/or any of its affiliates or subsidiaries.
Subject Options means all Company Options which the Company Securityholder owns, beneficially or of record, directly or indirectly or exercises control or direction over, particulars of which are set forth on Schedule A to this Agreement;
Subject Options means that number of Options set forth on Schedule “A” attached to this Agreement, being all of the Options owned legally and/or beneficially by the Shareholder, as of the date hereof and shall further include any Options otherwise acquired by the Shareholder after the date hereof.
