Supply Documents means all contracts, agreements and transactions relating to the supply of Goods by us to you, including without limitation, any Quotation, Purchase Order, Order Confirmation (including a sales order and/or a delivery note) and other supply agreements.

Examples of Supply Documents in a sentence

  • For purposes of the Turbine Supply Documents and all schedules, exhibits and attachments thereto, and in addition to the definitions elsewhere in this Agreement and the other Turbine Supply Documents, the terms listed in Appendix I hereto shall have the respective meanings assigned to such terms in Appendix I hereto, which is incorporated herein and made a part hereof.

  • Following the execution of this Agreement by the Parties, if either Party requests a change to the Agreement in order to (i) correct any inconsistency contained within the Agreement or among the Turbine Supply Documents or (ii) clarify any ambiguities in the Agreement to reflect the intent of the Parties, then the Parties agree to work in good faith to amend the language of the Agreement to conform to any such requested change.

  • The Borrower shall cause each Corresponding Project Company to obtain and maintain extended warranties under the Turbine Supply Documents for all Turbines with a duration of not less than 24 months from the expected COD for such Turbines, so long as such warranty coverage is available on commercially reasonable terms, or, if not available on commercially reasonable terms, warranties for such lesser period as are obtainable on commercially reasonable terms.

  • So long as a Turbine Supply Document is included in the Collateral, the Borrower shall (i) perform, and shall cause the relevant Corresponding Project Company to perform, all of its respective material contractual obligations under such Turbine Supply Documents and (ii) maintain and preserve (and cause such Corresponding Project Company to maintain and preserve) all of such Person’s material rights under such Turbine Supply Document.

  • Purchaser shall have the right, only at any time up to, and not later than, ***** prior to the scheduled date for Delivery of the first Major Turbine Component to be Delivered under this Agreement pursuant to the Delivery Schedule, upon the occurrence of a ***** to terminate all of the Turbine Supply Documents upon ***** prior written notice to Supplier.

  • This Contract and any associated Scope of Supply Document(s) constitutes the entire agreement between the parties in relation to the subject matter of this Contract and cancels and supersedes all prior negotiations, agreements (excluding any prior agreed Non-Disclosure Agreements between the Company Group, the Contractor and/or its affiliates), representations and undertakings solely related to the subject matter of this Contract.

  • Subject to Section 2(b), the Borrower shall not use the proceeds of the Loans for any purpose other than the purchase of the Turbines by the Borrower and/or reimbursement of amounts paid to the turbine supplier under the Turbine Supply Documents for the purchase of the Turbines and related services described in the Turbine Supply Documents.

  • All material liabilities and assets of the Borrower are set forth on Schedule 8 and it is not a party to nor bound by any material contract other than the Basic Documents and the Turbine Supply Documents.

  • Unless otherwise agreed in writing by us, you acknowledge, accept and agree that you have read these Terms and Conditions and that these Terms and Conditions will apply to, and are automatically incorporated into and form part of all Supply Documents (whether provided physically, electronically or otherwise, including via a hyperlink).

  • For the avoidance of doubt, proceeds of any financing in connection with Turbines supplied under the Turbine Supply Documents shall be used to prepay the Term Loans under this Section 2.5(b).

Related to Supply Documents

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Seller Agreements means those agreements between Seller and third parties, including Artists and/or Distributors, wherein Seller is entitled to receive the Percentage Interest of all Assets.

  • Related Agreements shall have the meaning specified in the recitals to the Administration Agreement.

  • Offtake Agreement means the offtake agreement dated May 13, 2008 with Glencore International AG pursuant to which the Company has agreed to sell in U.S. dollars to Glencore, and Glencore agreed to acquire, 100% of the V2O5 production at the Maracás Menchen Mine.
