Supply of Goods. 6.1 In consideration of UKRI’s agreement to pay the Charges, the Supplier shall supply all Goods in accordance with the Agreement and any Contract. In particular, the Supplier warrants that the Goods shall: (a) conform with their description in the specifications (including the Specification), drawings, descriptions given in quotations, estimates, brochures, sales, marketing and technical literature or material (in whatever format made available by the Supplier) supplied by, or on behalf of, the Supplier; (b) be of satisfactory quality (within the meaning of the Sale of Goods Act 1979) and fit for any purpose held out by the Supplier or made known to the Supplier by UKRI, expressly or by implication, and in this respect UKRI relies on the Supplier's skill and judgement. The Supplier acknowledges and agrees that the approval by UKRI shall not relieve the Supplier of any of its obligations under this sub-clause; (c) where applicable, be free from defects (manifest or latent), in materials and workmanship and remain so for 12 months after Delivery; (d) be free from design defects; (e) comply with all applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Goods; (f) be supplied in accordance with all applicable legislation in force from time to time; and (g) be destined for supply into, and fully compliant for use in, the United Kingdom (unless specifically stated otherwise in the Specification). 6.2 In supplying the Goods, the Supplier shall co-operate with UKRI in all matters relating to the supply of the Goods and comply with all of UKRI’s instructions. 6.3 The Supplier shall ensure that at all times it has and maintains all the licences, permissions, authorisations, consents and permits that it needs to carry out its obligations under the Agreement. 6.4 UKRI and its representatives shall have the right to inspect and test the Goods at any time before Delivery. 6.5 If following such inspection or testing UKRI considers that the Goods do not conform or are unlikely to comply with the Supplier's undertakings at clause 6.1, UKRI shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance. 6.6 Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for the Goods and any such inspection or testing shall not reduce or otherwise affect the Supplier's obligations under this Agreement, ...

Supply of Goods. In consideration of the Customer’s Agreement to pay the Charges, the Supplier shall supply the Goods to the Customer subject to and in accordance with the terms and conditions of the Agreement. In supplying the Goods, the Supplier shall co-operate with the Customer in all matters relating to the supply of Goods and comply with all the Customer’s instructions. Supply of Goods. Both Parties' obligations 2.1 Both Parties agree to: a) Act in good faith and demonstrate honesty, integrity, openness, and ac- countability in their dealings with each other b) Discuss matters affecting this Contract or the supply of the goods, when- ever necessary c) Notify each other immediately of any actual or anticipated issues that could: i) significantly impact the goods or the charges; ii). Any Supplier terms and conditions stated in its sales order form, delivery receipt, e-procurement system or elsewhere do not apply. 2.4 The Buyer must pay the Supplier the charges for the goods as long as the Supplier has delivered the goods and invoiced the Buyer, all in accordance with this Contract. 2.5 The Supplier must supply goods which meet the Description of Goods in Schedule 1, the requirements of this Contract, and which are supplied in ac- cordance with orders from the Buyer. 2.6 The Supplier must deliver the goods to the delivery address stated in Sched- ule 1, or such other address the Buyer specifies, on time, and for the charges. It is essential that goods are delivered on time. 2.7 The Supplier must notify the Buyer immediately in writing if the Supplier be- comes aware of any actual or possible delay in delivery of the goods. 2.8 If a warranty or maintenance obligation (including a warranty from a manufac- turer) applies in relation to the goods or any items incorporated into or sup- plied with the goods, the Supplier must ensure that the benefit of the war- ranty or obligation is passed on to the Buyer. 2.9 The goods must: a) Be of merchantable quality and free from defects in design, materials or construction b) Be fit for the purposes for which they are intended to be used c) Comply with the Description of Goods stated in Schedule 1 d) Comply with any sample of the goods provided by the Supplier, except if the Buyer has agreed otherwise in writing e) Be new and unused, unless the Buyer has agreed otherwise in writing, and f) Be packaged so as to protect the contents and keep them clean, dry and in a new condition until they are first used, if appropriate. 2.10 The Supplier warrants that: a) the goods do not breach any law or standard b) Supply of the goods in accordance with this Contract will not...

The Customer may conduct further inspections and tests after the Supplier has carried out its remedial actions.
Supply of Goods. Seller assumes all risk of loss until receipt by NETAPP. Title to the Goods shall pass to NETAPP upon receipt by it of the Goods at the designated destination. If the Goods ordered are destroyed prior to title passing to NETAPP, NETAPP may at its option cancel the Agreement or require delivery of substitute Goods of equal quantity and quality. Such delivery will be made as soon as commercially practicable. If loss of Goods is partial, NETAPP shall have the right to require delivery of the Goods not destroyed.
Supply of Goods. 3.1 The Contractor hereby enters into this Master Contract with NUHS as agent for the Institutions where the Contractor agrees separately with each of the Institutions to supply the Goods to the respective Institution, and ensure that the Goods are fully compatible with any equipment, instrument and/or system used by the respective Institution, to the extent specified in Schedule 2, on the terms of the Master Contract and the respective Institution Contract(s). In the event that the Goods become obsolete or cannot be supplied if an Order is issued for it, or if there are new replacements or upgraded/improved models, the Contractor shall propose to NUHS and the respective Institution, for the Institution’s consideration, a replacement or improved model with no increase in Price, that complies with Schedule 2 and can be used by the Institution for the purposes of the respective Institution Contract(s). 3.2 The Contract is not exclusive to the Contractor, and NUHS and the Institution reserve the right to purchase the Goods from other vendors as it deems fit or necessary. 3.3 The Contractor shall ensure full compliance with all Singapore laws, including all Health Sciences Authority (“HSA") regulatory requirements where applicable, and obtain all licences, permits and approvals as may be necessary including all export and import licences. Where the Goods fall under HSA risk classification C and D, they must be registered and approved by HSA under the Health Products Act (Chapter 122D) and the Health Products (Medical Devices) Regulations 2010. 3.4 The Goods shall, where relevant, be supplied by the Contractor together with all ancillary cables, plugs, power adapters, operating and maintenance manuals and such other parts, components or items which are necessary for the normal and efficient use of the Goods and all such parts, components or items shall be deemed part of the Goods for the purposes of the Contract and the Institution Contract(s); and all warranties and provisions relating to delivery and passing of title and risk under the Contract and the Institution Contract(s) shall accordingly be applicable thereto. Supply of Goods. 3.1 The Supplier shall ensure that the Goods shall:‌ 3.1.1 correspond with their description (including their description in any instruction manuals, user guides and other information provided by Supplier or posted to its websites); 3.1.2 be of satisfactory quality (within the meaning of the Sale of Goods Act 1979) and fit for any purpose held out by the Supplier or made known to the Supplier by the Customer, expressly or by implication, and in this respect the Customer relies on the Supplier's skill and judgement; 3.1.3 where they are manufactured products, be free from defects in design, materials and workmanship and remain so for 24 months after delivery (or such other period as is agreed between the parties in the Order); and 3.1.4 comply with all applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Goods. 3.2 The Supplier shall ensure that at all times it has and maintains all the licences, permissions, authorisations, consents and permits that it needs to carry out its obligations under the Contract in respect of the Goods. 3.3 The Customer may inspect and test the Goods at any time before delivery. The Supplier shall remain fully responsible for the Goods despite any such inspection or testing and any such inspection or testing shall not reduce or otherwise affect the Supplier's obligations under the Contract. 3.4 If following such inspection or testing the Customer considers that the Goods do not comply or are unlikely to comply with the Supplier's undertakings at clause 3.1, the Customer shall inform the Supplier and the Supplier shall immediately take such remedial action as is necessary to ensure compliance. 3.5 The Customer may conduct further inspections and tests after the Supplier has carried out its remedial actions.

Supply of Goods. Supplier shall supply the Goods to Xxxxx in accordance with the Agreement with the skill, care, prudence, and foresight of a diligent supplier of such Goods. Any items, services, or responsibilities not specifically described in the Agreement and which are reasonably necessary for the proper supply of the Goods shall be included and delivered for the price stated in the P.O. Supplier shall comply with all written policies (whether presented electronically or otherwise), recommendations, requirements, and reasonable instructions of Xxxxx provided from time to time, including without limitation all security and safety regulations and rules from time to time applicable to any parts of Xxxxx’x sites, premises or other facilities to which Supplier or its agents has access. Supplier and its Goods shall at all times comply with Xxxxx’x quality assurance requirements contained within Xxxxx’x Supplier Code of Conduct (available online at <xxxxx://xxx.xxxxxxxxxxx.xxx/legal>) as well as any other requirements with respect to the Goods that may be conveyed by Xxxxx to Supplier prior to Supplier’s performance of the Agreement. Upon expiry or termination of the Agreement (in whole or in part) for any reason, Supplier shall provide such reasonable transfer assistance to a new supplier in respect of the Goods as Xxxxx may require to minimize any disruption and ensure continuity of Xxxxx’x business.
Supply of Goods. 23.1. The Supplier must supply and where required install Goods: 23.1.1. in accordance with the Statement of Requirements, the Key Performance Indicators,Pricing Schedule and the Ordering Procedures; and 23.1.2. in accordance with the particular requirements of each Order. 23.2. The Goods must be: 23.2.1. designed and constructed so as to be safe and without risk to the health or safety of those using them when installed and properly used; 23.2.2. to the satisfaction of the Purchaser acting reasonably; 23.2.3. fit and sufficient for the purposes for which such goods are ordinarily used (having regard to the manufacturer’s published specifications); 23.2.4. fit and sufficient for any particular purposes set out in the Statement of Requirements or otherwise made known to the Supplier by the Purchaser; and 23.2.5. accompanied by all documentation (such as instructions, manuals and guides) that are normally supplied by the manufacturer or supplier of the Goods or are otherwise necessary to make use of the Goods. 23.3. The Supplier acknowledges that the Purchaser relies on the skill, care, diligence and judgment of the Supplier in the supply of the Goods and the performance of its obligations under the Contract. 23.4. The Purchaser may inspect or test the Goods either complete or in the process of manufacture during Working Hours on reasonable notice at the Supplier’s premises. The Supplier must at its expense provide all reasonable assistance and facilities in relation to any such inspection or test. 23.5. If requested by the Purchaser, the Supplier must provide the Purchaser with samples of the Goods for evaluation and approval, at the Supplier’s expense. 23.6. For each Order for the supply of Goods, subject to any contrary requirements of the Purchaser communicated in accordance with the Ordering Procedures, the following provisions of Section C and clause 13 (Price) apply.
Supply of Goods. 6.1 When Goods are being supplied by the Supplier as part of the Services the Supplier must: (a) Ensure that the Goods are without risks to the health and safety of those persons who will install, use, maintain, or repair them, or who may at any time be in the vicinity of and exposed to the Goods. (b) Carry out any necessary analysis, testing, calculations, or examination to verify the safety and suitability of the Goods being supplied. (c) Provide Watercare with all relevant information regarding the purpose for which the Goods were manufactured, the results of any testing or examination, and any conditions necessary to ensure the Goods are without risks to health and safety.
