Sustainability Performance Targets definition

Sustainability Performance Targets means each of SPT 1, SPT 2 and SPT 3.
Sustainability Performance Targets means, collectively, Sustainability Performance Target 1, Sustainability Performance Target 2 and Sustainability Performance Target 3.
Sustainability Performance Targets means, collectively, the Product Volume Target, the Regulatory Submissions Target and the Emissions Reduction Target; provided, however, that for purposes of determining if any Sustainability Performance Target has been achieved, the Guarantor and its consolidated subsidiaries may exclude the impact of (i) any amendment to, or change in, any applicable laws, regulations, rules, guidelines, standards and policies applicable or relating to the business, operations or properties of the Guarantor and its consolidated subsidiaries following the issue date of the Notes, including with respect to the measurement or calculation of any of the Sustainability Performance Targets or (ii) any force majeure, extraordinary or exceptional events or circumstances, including the occurrence of such events or circumstances with respect to any governmental, non-governmental or healthcare organization whose participation, involvement or functioning is necessary, appropriate or, as of the date of this offering, anticipated, for the achievement of the Sustainability Performance Targets (including but not limited to geo-political instability, poor governance practices or the failure of local infrastructure (including physical or social infrastructure or supranational, national, state, provincial or local governance)). If a Sustainability Performance Target is not achieved as a result of the occurrence of any of the foregoing described in the proviso to the immediately preceding sentence, as determined by the Guarantor in its reasonable judgment, such Sustainability Performance Target will be deemed to have been achieved for purposes of this Supplemental Indenture and no interest rate adjustment or premium payment shall result from the failure to achieve such Sustainability Performance Target.

Examples of Sustainability Performance Targets in a sentence

  • The Sustainability Performance Targets are measured against the Capital Carbon Emissions Baseline or the Net Operational Carbon Emissions Baseline (the “Baselines”).

  • If the Anglian Water Group fails to meet certain Sustainability Performance Targets as specified in the applicable Final Terms in relation to these Key Performance Indicators, a Step Up Event will occur, as a result of which a Step Up Margin will be applied.

  • For the avoidance of doubt, failure to achieve one or more Sustainability Performance Targets shall not constitute a Default or an Event of Default with respect to the Notes.

  • Any satisfaction of the Sustainability Performance Targets subsequent to the Notification Due Date or cessation of satisfaction, or any failure to satisfy the Sustainability Performance Targets subsequent to the Notification Due Date, will not result in an adjustment to the interest rate payable on the Sustainability-Linked Notes.

  • The Trustee shall not be obliged to monitor, inquire or verify as to whether the Sustainability Performance Targets have been satisfied.


More Definitions of Sustainability Performance Targets

Sustainability Performance Targets or “SPT” means (as applicable) the Net Operational Carbon SPT, the Capital Carbon SPT and/or any Additional SPT as specified in the applicable Final Terms;
Sustainability Performance Targets means the threshold or objective set for any given Key Performance Indicator to be observed on any corresponding Target Observation Date, if relevant compared to the level of such Key Performance Indicator used as a baseline and observed on the Baseline Date, as specified in the relevant Final Terms.
Sustainability Performance Targets means SPT 1, SPT 2 and SPT 3 and each a “Sustainability Performance Target”.
Sustainability Performance Targets means the Scope 1 and Scope 2 Emissions Sustainability Performance Target and the Scope 3 Emissions Sustainability Performance Target.
Sustainability Performance Targets means (i) in respect of the First Target Observation Date, a reduction of the GHG Emissions Intensity equal to or higher than twenty-two point nine (22.9) per cent. by 31 December 2025, compared to the 2018 Baseline, and (ii) in respect of the Second Target Observation Date, a reduction of the GHG Emissions Intensity equal to or higher than thirty- six (36) per cent. by 31 December 2030, compared to the 2018 Baseline;
Sustainability Performance Targets means, for any calendar year, with respect to (a) GHG Emissions, for any given calendar year, the cumulative percentage reduction of the sum of the GHG Emissions for such calendar year, relative to the sum of the GHG Emissions for calendar year 2019 as reported in Schedule 2.18(a), (b) with respect to the Water Use Intensity, for any given calendar year, the cumulative percentage reduction of the Water Use Intensity relative to the Water Use Intensity for calendar year 2019 as reported in Schedule 2.18(a), (c) with respect to the Management and Leadership Positions Held By Women, the proportion of Management and Leadership Positions Held By Women, in each case of clauses (a), (b) and (c), set forth on Schedule 2.18(b); provided that, in each case, if Borrower subsequently issues a sustainability-linked debt instrument linked to the same KPI Metric and with an observation date for such calendar year, but with a higher percentage of Management and Leadership Positions Held by Women or reduction in GHG Emissions or Water Use Intensity, as the case may be, the relevant Sustainability Performance Target shall be automatically adjusted upward to equal the percentage of Management and Leadership Positions Held by Women or reduction in GHG Emissions or Water Use Intensity, as applicable, required by such subsequent sustainability-linked debt instrument.
