System Agreements definition

System Agreements has the meaning set forth in the General Resolution.

System Agreements means any agreements relating to the operation or maintenance of the System, the supply of power and energy to the System, and the provision of transmission and distribution services and capacity for the System, including, but not limited to, the Operations Services Agreement and the Power Supply Agreement.

System Agreements means contracts, memoranda of agreements, or memoranda of understanding between NCEM and Contract Response Teams for the purposes of establishing and maintaining the NC SAR System.

System Agreements means, collectively, all FCC Licenses for Channels and booster stations, Channel Leases, Tower Site Leases, programming agreements, retransmission agreements, non-interference or cooperation agreements (excluding no-objection letters issued in the ordinary course of business), equipment agreements or instruments, licenses, permits, and other material agreements pertaining to the transmission of video, voice, or data signals through wireless cable transmission facilities, of each of the Company and each of its Subsidiaries now existing or hereafter acquired or obtained, relative to the Channels or the construction an operation of the Systems.

System Agreements any and all agreements and documents executed by or delivered by or to any Loan Party at any time in connection with any Network or its acquisition, construction or operation, including all management and maintenance agreements, agreements for storage or warehousing of Collateral, Site Leases and interconnection agreements.

Buyer and Seller agree to cooperate in good faith to determine alternative arrangements for System Agreements identified on Schedule 2B that permit the benefits and obligations associated with the System Agreements to continue to apply to the Restaurants after the Closing.

System Agreements means certain contracts, the scope of which includes the Restaurants and other Applebee’s Neighborhood Grill & Bar restaurants owned by Seller or its Affiliates or franchisees of Franchisor. Buyer and Seller agree to cooperate in good faith to determine alternative arrangements for System Agreements identified in Schedule 2B that permit the benefits and obligations associated with such System Agreements to continue to apply to the Restaurants after the Closing and Buyer hereby agrees to execute the applicable document or take such other action as described in the “Method of Transfer” column on Schedule 2B.
