Target Capital Expenditures definition

Target Capital Expenditures means (x) if the Closing Date is May 2, 2005, U.S.$21,113,000, or (y) if the Closing Date is not May 2, 2005, the aggregate amount of capital expenditures scheduled to be made in accordance with the Capital Budgets (as reflected on Schedule 6.2(q) to the Purchase Agreement) during the period commencing on January 1, 2005 and ending at the close of business on the Closing Date (it being understood that in the event the Closing Date does not occur on the last day of a calendar quarter, the amount of capital expenditures scheduled to be made for such shorter period shall be deemed to equal the aggregate amount of capital expenditures scheduled to be made during the applicable calendar quarter divided by ninety (90) and multiplied by the number of calendar days which have elapsed between the beginning of such calendar quarter and the Closing Date), in each case, calculated in the manner and upon the numbers set forth on Schedule 6.2(q).
Target Capital Expenditures means the capital expenditures budgeted for in the Management Standalone Long-Range Plan approved by the Company Special Committee on September 6, 2023.
Target Capital Expenditures means the gross capital expenditures (excluding all tenant allowances or similar lease incentives which offset gross capital expenditures), the payment of which is provided for in the Company’s capital expenditure plan set forth in Section 1.03(a) of the Company Disclosure Letter (the “CapEx Plan”), from May 6, 2007 through the fiscal month ending immediately prior to the Closing Date plus an amount equal to (A) the amount of the gross capital expenditures (excluding all tenant allowances or similar lease incentives which offset gross capital expenditures), the payment of which is provided for in the CapEx Plan, for the fiscal month in which the Closing Date occurs multiplied by (B) the number of days elapsed in the fiscal month up through and including the last business day immediately prior to the Closing Date divided by (C) the number of days in such fiscal month. Set forth on Section 1.03(a) of the Company Disclosure Letter is an example showing how the Initial Payment would be adjusted and Final Adjustment would be calculated based on certain stated assumptions relating to the capital expenditure adjustment described below. Such assumptions are provided solely for the purpose of illustrating these calculations.
