Termination Notice Date definition

Termination Notice Date means the date on which Executive resigns (or if earlier, the date on which Executive notifies Company that Executive will resign), or the date on which Company terminates the employment for or without a Breach of Conduct (or if earlier, the date on which the Company notifies Executive that employment will be so terminated).

Termination Notice Date shall have the meaning provided in Section 12.7(a)(ii).

• In the case of termination of employment by reason of death, disability (as defined under the Executive's employment agreement), resignation or without Breach of Conduct, the vested Shares underlying the Option will expire if not exercised within 365 days after the Termination Notice Date.

• Except as indicated below in (b), if Executive terminates his employment for any reason, including by resignation, or if the Company terminates his employment with or without a Breach of Conduct (as defined below), Executive may retain all RSUs and Shares underlying the Option that have vested before the Termination Notice Date (as defined below).

• If a Party provides notice of termination of this Amendment, in accordance with the terms of this Section, each Party on and after the Termination Notice Date, may in writing initiate negotiations under Sections 251 and 252 of the Act for terms to replace the terms set forth in this Amendment.

More Definitions of Termination Notice Date

Termination Notice Date means the earlier of (i) the date Independent Contractor actually receives the Termination Notice, and (ii) three days after the Termination Notice Date is placed in the U.S. mail.

"VALUE-ADDED PROGRAM" means any products or services which may be offered by or through Bank to Cardholders pursuant to Section 3.05 that enhance the features of the Program or any Account including, without limiting the foregoing, credit card protection plans, legal services and auto clubs; PROVIDED, HOWEVER, that "Value-Added Programs" shall not include credit insurance or any other Insurance Program.

Termination Notice Date shall have the meaning set forth in the definition of Termination Assistance Period.
