Tier 1 Executive definition

Tier 1 Executive means the Company’s Chief Executive Officer.
Tier 1 Executive means an Eligible Individual identified as a “Tier 1 Executive” in accordance with Exhibit A attached hereto.
Tier 1 Executive means an officer of the Company who is elected or appointed by the Board of Directors and is subject to Section 16 of the Exchange Act.

Examples of Tier 1 Executive in a sentence

  • If an executive’s employment is terminated, then any 2x Time Options which are forfeited (or 2x option shares which are repurchased) would be re-issued to the other then-remaining Tier 1 Executives or the person who is chosen to replace the forfeiting Tier 1 Executive.

  • Tier 1 Executive statement concluding that the benefit to the NMMI in granting the waiver outweighs the potential harm.

  • Tier 1 Executive proposal for the means by which a qualified, objective person unrelated to the proposed employee noted in #1 above shall make performance evaluations and recommendations for compensation, promotion, and awards.

  • During this forty-five (45) day notice period, a Tier 1 Executive will be afforded the opportunity to make a presentation to the Board regarding the matters referred to in the Company’s notice.


More Definitions of Tier 1 Executive

Tier 1 Executive means an officer of the Company who is elected or appointed by the Board of Directors and is subject to Section 16 of the Exchange Act, and any other employee of the Company or any of its subsidiaries who is designated as a Tier 1 Executive by the Board or the Committee.
Tier 1 Executive means the Chief Executive Officer of the Company.

Tier 1 Executive means an Eligible Individual identified in writing as a “Tier 1 Executive” by the Compensation Committee of theBoard.
