Tier III Executive definition

Tier III Executive means an individual employed by a Participating Company at job level ten (10) (within the meaning of the Company’s payroll structure).
Tier III Executive means an individual who is designated as a Tier III Executive by the Committee.
Tier III Executive means a key management employee of the Company or an Affiliate who is the Company’s Vice President, Human Resources; Vice President, Information Technology; Vice President, New Platforms; Vice President, Corporate Development and M&A, Chief strategy Officer; Vice President, Global Business Development and Design Services; and any other officer designated by the Administrator.

More Definitions of Tier III Executive

Tier III Executive means a Leadership Team Member who is not a Tier I or Tier II Executive and any other senior officer so designated by the Administrator.
Tier III Executive means any executive officer, officer or key employee of the Company or any Subsidiary designated by the Committee as a Tier III Executive (other than any Tier I Executive or Tier II Executive).
Tier III Executive means an Executive with the Job Level of Regional President in the Company’s Human Resources Information System as of the earlier of such time that is immediately prior to (i) a Qualifying Termination or (ii) a Change in Control and who does not constitute a Tier I Executive.

Related to Tier III Executive

  • Eligible Executive means any employee of the Company or an Affiliate of the Company who (i) is designated by the Committee as an “Eligible Executive” who is eligible to participate in the Plan; (ii) has executed and returned a Participation Agreement to the Company; (iii) is not covered under any other severance plan, policy, program or arrangement sponsored or maintained by the Company or any of its Affiliates; and (iv) is not a party to an employment or severance agreement with the Company or any of its Affiliates pursuant to which such employee is eligible for severance payments or benefits. The Committee shall have the sole discretion to determine whether an employee is an Eligible Executive. Eligible Executives shall be limited to a select group of management or highly compensated employees within the meaning of Sections 201, 301 and 401 of ERISA.

  • Covered Executive means any “executive officer” of the Company as defined under Rule 10D-1.

  • Executive Employee means those employees of the Company of Grade Level 10 or above.

  • Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.

  • Named Executive means any individual who, on the last day of the Company’s fiscal year, is the chief executive officer of the Company (or is acting in such capacity) or among the four most highly compensated officers of the Company (other than the chief executive officer).   • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Regular benefits ’ means benefits payable to an individual under this act or under any other state law, including benefits payable to federal civilian employees and to ex-servicemen pursuant to 5 U.S.C. chapter 85, other than extended benefits.

  • Excluded Employee means an employee as defined in section 3527, subd. (b) of the Government Code (Ralph C. Dills Act) except those excluded employees who are designated managerial pursuant to section 18801.1 of the Government Code.

  • Accrued Base Salary means the amount of Executive's Base Salary which is accrued but not yet paid as of the Date of Termination.
