Tier II Executive definition

Tier II Executive means an individual employed by a Participating Company at job level eleven (11) through fourteen (14), inclusive (within the meaning of the Company’s payroll structure).
Tier II Executive means an officer who has been selected to participate in the Plan and designated as a Tier II Executive pursuant to Section 3.2.
Tier II Executive means an individual who is, at the relevant time, a member of the executive committee of the Company or is otherwise designated as a Tier II Executive by the Committee.

Examples of Tier II Executive in a sentence

  • Subject to Section 3.2, such Gross-Up Payment shall be made no later than December 31 of the year following the year in which the Tier I or Tier II Executive incurs the Excise Tax.

  • If reducing such Payment would result in an increase in the after-tax benefit to the Tier I and Tier II Executive, then the Payment shall be reduced to the minimum extent necessary so that no portion of any such Payment is subject to the Excise Tax.

  • A “Tier II Executive” is any Executive designated by the Board or Committee as a Tier II Executive and who is not a 1999 Plan Executive or a Transition Plan Executive.

  • Except as provided in the next sentence, each full-time employee of the Corporation or a Participating Employer who is recommended to the Compensation Committee to be a Tier I or Tier II Executive by the Chief Executive Officer will be a Participant in the Plan only if the Compensation Committee approves his or her participation after the Effective Date and before a Change in Control.

More Definitions of Tier II Executive

Tier II Executive means any Participant designated by the Compensation Committee as a Tier II Executive.
Tier II Executive means the Chief Financial Officer, any president, executive vice president and senior vice president of the Company, and certain vice presidents of the Company specifically designated as Tier II Executives in accordance with the Plan, as further described in Section 4(a).
Tier II Executive means an Eligible Employee who has been designated by the Committee as a Tier II Executive pursuant to Section 2.1 of this Plan.
Tier II Executive means a key management employee of the Company or an Affiliate who is the Company’s President, Global EMS Operations; Vice President, General Counsel, Secretary; Vice President, Chief Financial Officer; and any other officer designated by the Administrator.
Tier II Executive means a Leadership Team Member who is the Company’s Chief Operating Officer; Chief Legal & Compliance Officer and Secretary; Chief Financial Officer; and any other senior officer so designated by the Administrator.
Tier II Executive means each executive designated as a Tier II Executive on Exhibit A.
Tier II Executive means any executive officer of the Company who has been designated by the Board to participate in the Plan as a Tier II Executive.
