Trademark Security. AGREEMENT shall have the meaning provided in Section 2.5.13. TRANSFER shall mean to, directly or indirectly, sell, assign, convey, mortgage, transfer, pledge, hypothecate, encumber, grant a security interest in, exchange or otherwise dispose of any beneficial interest or grant any option or warrant with respect to, or where used as a noun, a direct or indirect sale, assignment, conveyance, transfer, pledge or other disposition of any beneficial interest by any means whatsoever whether voluntary, involuntary, by operation of law or otherwise. UCC or UNIFORM COMMERCIAL CODE shall mean the Uniform Commercial Code as in effect in the State. UNDERWRITER GROUP shall have the meaning set forth in Section 14.4.2(b).
Trademark Security. Agreements shall mean, collectively, (i) that certain ----------------------------- Trademark Security Agreement dated as of February 12, 1999 executed by Borrower and Agent, (ii) those certain Trademark Security Agreements dated concurrently herewith executed by Borrower, Pollo Operations, Inc., TP Acquisition Corp. and Texas Taco Cabana, L.P., respectively, and Agent and (iii) all additional trademark security agreements executed as security for the Obligations and all related recordation form cover sheets and any and all amendments, modifications, renewals, extensions and supplements thereof or thereto from time to time.
Trademark Security. Agreements shall mean, collectively, each of the ----------------------------- Trademark Security Agreements executed by the Borrower in favor of the Agent in the form attached hereto as Exhibit H. Type shall mean, with respect to any Loan, whether such Loan is a LIBOR ---- Rate Loan or a Prime Rate Loan. Unrestricted Debt Proceeds shall mean the sum of (i) that portion of the -------------------------- proceeds of any Debt permitted pursuant to Section 7.1(v) hereof, and (ii) that -------------- portion of the proceeds of any Additional Permitted Debt, each which are not required to be applied to the repayment of the Loans pursuant to Section 3.5 ----------- hereof. Upon ----------- final determination of all discounts, commissions, fees, expenses and taxes paid or payable in connection with any transaction giving rise to any Unrestricted Equity Proceeds, to the extent such discounts, commissions, fees, expenses and taxes shall exceed the amounts estimated by the Borrower in good faith in connection with such transaction, the amount of Unrestricted Equity Proceeds shall be reduced by such excess. Unrestricted Proceeds shall mean the sum of (i) Unrestricted Debt Proceeds --------------------- and (ii) Unrestricted Equity Proceeds. Unused Line Fee shall mean that fee payable by the Borrower to the Agent --------------- for the Account of the Lenders pursuant to Section 8.7 hereof. ----------- Voting Stock shall mean stock of the Borrower of the class or classes ------------ having general voting power under ordinary circumstances to elect at least a majority of the board of directors of the Borrower (irrespective of whether or not at the time stock of any other class or classes shall have or might have voting power by reason of the happening of any contingency).

  • This Trademark Security Agreement may be executed in any number of counterparts, all of which shall constitute one and the same instrument, and any party hereto may execute this Trademark Security Agreement by signing and delivering one or more counterparts.

  • If any Grantor shall obtain rights to any new trademarks, the provisions of this Trademark Security Agreement shall automatically apply thereto.

  • Notwithstanding the foregoing, no failure to so modify this Trademark Security Agreement or amend Schedule I shall in any way affect, invalidate or detract from Agent’s continuing security interest in all Collateral, whether or not listed on Schedule I.

  • In the event that any provision of this Trademark Security Agreement is deemed to conflict with the Security Agreement, the provisions of the Security Agreement shall control.

  • Delivery of an executed counterpart of this Trademark Security Agreement by telefacsimile or other electronic method of transmission shall be equally as effective as delivery of an original executed counterpart of this Trademark Security Agreement.

  • Any party delivering an executed counterpart of this Trademark Security Agreement by telefacsimile or other electronic method of transmission also shall deliver an original executed counterpart of this Trademark Security Agreement but the failure to deliver an original executed counterpart shall not affect the validity, enforceability, and binding effect of this Trademark Security Agreement.

Upon filing of the Copyright Security Agreements with the United States Copyright Office and filing of the Patent Security Agreements and the Trademark Security Agreements with the United State Patent and Trademark Office and the filing of appropriate financing statements listed on Schedule I hereto, all action necessary or desirable to protect and perfect Agent's Lien on each Grantor's Patents, Trademarks or Copyrights shall have been duly taken.

  • Trademark Licensee means any corporation, partnership, limited liability company or similar legal entity (and not a person) that has a written trademark license agreement with Registry Operator or its Affiliate, for use of the registered trademark owned by Registry Operator or its Affiliate, the textual elements of which correspond exactly to the .Brand TLD string operated by Registry Operator, where: (i) such license is valid under applicable law; (ii) such license is for the use of such trademark in the regular course of that entity’s business outside of the provision of TLD Registry Services, and is not primarily for the purpose of enabling registration or use of domain names in the TLD; (iii) such trademark is used continuously in that entity’s business throughout the Term; and (iv) the domain names in the TLD registered to the Trademark Licensee are required to be used for the promotion, support, distribution, sales or other services reasonably related to any of the goods and/or services identified in the trademark registration.

  • Domain Names means all Internet domain names and associated URL addresses in or to which any Grantor now or hereafter has any right, title or interest.

  • Trademark Collateral means all Trademarks, whether now owned or hereafter acquired by the Company, that are associated with the Business. Notwithstanding the foregoing, the Trademark Collateral does not and shall not include any Trademark which would be rendered invalid, abandoned, void or unenforceable by reason of its being included as part of the Trademark Collateral.

  • Trademark Licenses means all licenses, contracts or other agreements, whether written or oral, naming any Grantor as licensor or licensee and providing for the grant of any right concerning any Trademark, together with any goodwill connected with and symbolized by any such trademark licenses, contracts or agreements and the right to prepare for sale or lease and sell or lease any and all Inventory now or hereafter owned by any Grantor and now or hereafter covered by such licenses (including, without limitation, all Trademark Licenses described in Schedule II hereto).

  • Registered Intellectual Property Rights means all Intellectual Property Rights that are the subject of an application, certificate, filing, registration, or other document issued by, filed with, or recorded by, any Governmental Authority in any jurisdiction.

  • Patent Security Agreement means each Patent Security Agreement executed and delivered by Grantors, or any of them, and Agent, in substantially the form of Exhibit B.

  • Copyright owner means the owner of a copyright of a musical work recognized and enforceable under the copyright laws. Copyright owner does not include the owner of a copyright in a motion picture or audiovisual work or in any portion of a motion picture or audiovisual work.
