Transaction Services Fee definition

Transaction Services Fee means, at any time, the fee charged by the MPF Provider to the MPF Banks for operational support provided by the MPF Provider in connection with Program Loans owned by such MPF Banks. Other terms used herein shall be defined as set forth in this Agreement. Any capitalized term used herein, which is not so defined, shall have the meaning ascribed to such term in the Guides. The singular shall include the plural as the context may require.

Transaction Services Fee means a transaction fee payable by the Borrower or any Subsidiary to Manager (or an Affiliate of Manager) in connection with an acquisition or sale of any Subsidiary that is otherwise permitted under this Agreement and under the terms of the External Credit Facility.

Examples of Transaction Services Fee in a sentence

  • Any FHLB Guide revisions related to the MPF Membership Fee or the Transaction Services Fee specified in ARTICLE IX will be decided by the MPF Governance Committee.

Transaction Services Fee means a transaction fee payable by a Portfolio Company or an Outside Company to Manager (or an Affiliate of Manager) in connection with an acquisition or sale of such Portfolio Company or Outside Company that is permitted hereunder, or in connection with the consummation of an add-on acquisition by such Portfolio Company or Outside Company that is permitted hereunder. Related to Transaction Services Fee

  • Services Fee means, collectively, the Senior Services Fees and the Subordinated Services Fees.
