Service Provider shall submit the inventory data to DIR for DIR’s review in accordance with the criteria set forth in the Resource Baseline True-Up Transition Milestone in Exhibit 19.
In any such event, DIR may recover the damages suffered by DIR and the DIR Customers in connection with such a termination, provided that if such a termination is based on Service Provider's failure to meet a Transition Milestone, Service Provider shall be entitled to set-off against such damages any Deliverable Credits that Service Provider has paid DIR for the failure to meet such Transition Milestone.
