TTM Recurring Revenue means, at any time the same is to be determined with respect to any Obligor, the Dollar Equivalent of the trailing twelve-month Recurring Revenue of such Obligor calculated in accordance with the corresponding amount or ratio in the underlying Related Documents for such loan utilizing the most recently delivered financial results of the related Obligor.

TTM Recurring Revenue means, as of any date of determination, the Recurring Revenues of Borrower determined on a consolidated basis, for the 12 month period most recently ended.

TTM Recurring Revenue means all annually recurring software as a service, recurring hardware as a service, and cloud (all as determined by Borrower’s accountants and satisfactory to Agent) subscription revenue and maintenance support revenue attributable to Borrower or any of its Subsidiaries earned during such period, calculated on a basis consistent with the financial statements delivered to Agent prior to the Closing Date, for the 12 month period most recently ended.

TTM Recurring Revenue means, as of any date of determination, Recurring Revenue for the 12 calendar month period ending immediately prior to such date of determination.

TTM Recurring Revenue means, as of any date of determination, Recurring Revenue of Parent determined on a consolidated basis in accordance with GAAP, for the 12 month period most recently ended.

TTM Recurring Revenue means, with respect to any Obligor for which twelve full fiscal months (or such other periodic increments totaling no less than one consecutive year) of relevant financial data are available, as of any date of determination, Recurring Revenue for such Obligor for the trailing twelve-month period ending on such date, as calculated by the Servicer in good faith in accordance with the Servicing Standard using information from and calculations consistent with the applicable Collateral Reporting Package and, with respect to any Loan Asset with respect to which the Obligor has undergone a material acquisition, merger or other similar material corporate event within the Relevant Test Period, calculated on a pro forma basis as if such event had occurred at the beginning of the Relevant Test Period so long as such pro forma calculation is provided for in the related Loan Agreement.

TTM Recurring Revenue means, as of any date of determination, Recurring Revenue of Borrowers and their Subsidiaries determined on a consolidated basis in accordance with GAAP, for the 12 month period most recently ended for which financial statements have been delivered to Agent pursuant to the terms of this Agreement. For the purposes of calculating TTM Recurring Revenue for any period, if at any time during such period (and after the Closing Date), any Borrower or any of its Subsidiaries shall have made a Permitted Acquisition, or shall have consummated a Permitted Disposition described in clause (u) of the definition thereof TTM Recurring Revenue for such period shall be calculated after giving pro forma effect thereto.

TTM Recurring Revenue means, with respect to any Obligor and any date, the Recurring Revenue for such Obligor for the trailing twelve months ending on such date, as calculated by the Servicer in good faith in accordance with the Servicing Standard using information from and calculations consistent with the relevant compliance statements and financial reporting packages provided by the relevant Obligor as per the requirements of the Related Documents. “UCC” means the New York Uniform Commercial Code; provided that if, by reason of any mandatory provisions of law, the perfection, the effect of perfection or non- perfection or priority of the security interests granted to the Collateral Agent pursuant to this Agreement are governed by the Uniform Commercial Code as in effect in a jurisdiction of the United States of America other than the State of New York, then “UCC” means the Uniform Commercial Code as in effect from time to time in such other jurisdiction for purposes of such perfection, effect of perfection or non-perfection or priority.
