Promptly following the Commencement Date, Tenant shall execute Landlord's Letter of Understanding, acknowledging (x) the Commencement Date of this Lease, and (y) except for any items of Landlord's Work not yet completed, which Landlord shall complete as soon as reasonably possible thereafter, that Tenant has accepted the Leased Premises. Subject to Tenant's rights under Section 2.02, if Tenant takes possession of and occupies the Leased Premises, Tenant shall be deemed to have accepted the Leased Premises and that the condition of the Leased Premises and the Building was at the time satisfactory and in conformity with the provisions of this Lease in all respects, subject to any items of Landlord's Work not yet completed. Notwithstanding anything contained in this Lease to the contrary, Tenant's inability to obtain a certificate of occupancy on account of the condition of the fifth (5th) floor of the Building shall not delay the Commencement Date.

  • Potential Issuer Event of Default means any condition, event or act which, with the lapse of time and/or the issue, making or giving of any notice, certification, declaration, demand, determination and/or request and/or the taking of any similar action and/or the fulfilment of any similar condition, would constitute an Issuer Event of Default;
