Vendor Service definition

Vendor Service means any service of Vendor (or, if applicable, its Affiliate or Third Party supplier) made available under this Agreement for purchase and resale by Company, and as Vendor (or, if applicable, its Affiliate or Third Party supplier) may modify the same from time to time.
Vendor Service has the meaning given in Exhibit 4-A, Section 8.2(i). “Weighted Score” has the meaning given in Exhibit 4-B, Section 6(e). “Welfare Plans” has the meaning given in Exhibit 13, Section 2.5(b). “Workaround Period” has the meaning given in Section 20.3(d). “Work Order(s)” has the meaning given in Section 1.1(b). Vendor Service means: (i) VENDOR's hosted storage service for providing online file storage and internet file sharing among users; and (ii) the Management Console, in each case, including, all updates, new versions and new releases thereof. The VENDOR Service, as of the Effective Date, includes the features and functionality described on Exhibit A annexed hereto and made a part hereof.

  • The following performance Monthly Vendor Service Report (MVSR) shall be provided by the Performance Administrator to the Contractor within five (5) days of the contract start date.

  • In the event that conflicting or additional terms in Vendor Software License Agreements, Vendor Shrink/Click Wrap License Agreements, Vendor Service Agreements or linked or supplemental Vendor documents amend or diminish the rights of DIR Customers or the State, such conflicting or additional terms shall not take precedence over the terms of this Contract.

  • If costs are to be captured within the service worksheet (Day, IHS) the number of participants for those individuals should be reflected in the authorized openings for those cost centers (Day, IHS) and the revenue offset should be listed under Vendor Service Authorization Revenue.

  • REVENUE Vendor Service AuthorizationsIf the costs for individuals that are funded by DDS via a Vendor Service Authorization have been included in an IHS or Day Program cost center, the offsetting revenue for those individuals must be entered on this line.

  • The Services will be provided as set forth in Attachment C: (a) to the Prudential Service Locations, (b) from the Designated Vendor Service Locations and Designated Vendor Data Centers, and (c) from the Additional Vendor Service Locations and/or Additional Vendor data Centers; provided, however, that the provision of Services from an Additional Vendor Service Location and/or Additional Vendor Data Center is subject to Prudential's written approval.

  • API Testing and Certification Fees for Third Party Vendors, Service Bureaus and other non-Members will be assessed (i) initially per API for FIX, MEO, FXD, and CTD in the month the non-Member has been credentialed to use one or more ports in the production environment for the tested API, and (ii) each time a Third Party Vendor, Service Bureau, or other non-Member initiates a change to its system that requires testing and certification.

  • New Service Customers means all customers that submit an Interconnection Request, a Completed Application, or an Upgrade Request that is pending in the New Services Queue.

  • Curtailment Service Provider or “CSP” shall mean a Member or a Special Member, which action on behalf of itself or one or more other Members or non-Members, participates in the PJM Interchange Energy Market, Ancillary Services markets, and/or Reliability Pricing Model by causing a reduction in demand.

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract. The Supplier/Contractor shall be deemed to include its successors (approved by the purchaser), representatives, heirs, executors, administrators and permitted;

As used herein, the term “End User(s)” does not include any of the Parties to this Agreement with respect to any item or service obtained under this Agreement.

  • Service dog means a dog that has been individually trained by an organization or person specializing in service dog training to perform a task to assist a person with a disability with a need related to their disability.

  • Transmission Service Provider means the entity that administers the transmission tariff and provides transmission service to transmission customers under applicable transmission service agreements.

  • Prepaid wireless calling service means a telecommunications service that provides the right to utilize mobile wireless service as well as other non-telecommunications services, including the download of digital products delivered electronically, content and ancillary services, which must be paid for in advance that is sold in predetermined units or dollars of which the number declines with use in a known amount.

  • Enhanced Service Provider (ESP) is a provider of enhanced services as those services are defined in 47 CFR Section 64.702.

  • Firm Service means from published tariffs and/or contracts under which Seller is expressly obligated to deliver specific volumes within a given time period and which anticipates no interruptions but which may permit unexpected interruption in case the supply to higher priority customers is threatened.

  • Payment Initiation Service Provider or “PISP” means an authorised third party provider which provides a service that allows that third party to pass payment instructions to us on your behalf in relation to your Account.
