The Retention Bonus shall be earned and become payable in two equal installments, as follows: (i) fifty percent (50%) of the Retention Bonus will become earned and payable on the first anniversary of the Effective Date, and (ii) fifty percent (50%) of the Retention Bonus will become earned and payable on the second anniversary of the Effective Date (each, a “Vesting Date”), in each case, subject to the Executive’s continued employment through the applicable Vesting Date.
Vesting will be based on continued service with the Company or any of its subsidiaries and/or achievement of performance goals as determined by the Committee.
If earned, each portion of the Retention Bonus shall be paid to the Executive in cash on or within 30 days following the applicable Vesting Date.
Each such installment which becomes vested and exercisable pursuant to the Vesting Schedule shall remain vested and exercisable until it becomes unexercisable under Section 4(c) or pursuant to the terms of the Plan.
