Working Capital Period definition

Working Capital Period has the meaning set forth in Section 9.5.

Working Capital Period means the period commencing on October 30, 2000 and expiring on December 31, 2001 or such later date (but in no event later than December 31, 2002) that Lender may designate.

  • The Payment Terms Adjustment shall be equal to (***) for each day in the Working Capital Period.

  • The Capital Charge shall be equal to (***) for each day in the Working Capital Period.

  • As neither the Existing Group nor Pouncer have reached breakeven, the Enlarged Group may generate sustained losses and which may require the Company to raise additional finance after the Working Capital Period.

  • All funds in relation to the Placing have been raised by the Company and are either being held by Tavira pending Admission or will be received in conjunction with Admission.The funding requirement of the Group during the Working Capital Period, excluding any funding which may be required for potential corporate acquisitions, will be available from the Net Proceeds of the Placing and existing cash resources.

  • Notwithstanding anything to the contrary herein, in the event this Agreement is terminated in accordance with Article X hereto and the Companies revenue during the Working Capital Period was greater than the Companies’ operating expenses during the Working Capital Period, then within three (3) business days of the date of such termination, Seller shall, or shall cause the Companies to, pay 100% of such excess amount to Buyer.

  • Although the Group will have sufficient working capital for the Working Capital Period, depending on the price of coal and coking coal, projected cash flow from planned mining operations may not be sufficient for future operations and the Group could be forced to discontinue any further development and may lose its interest in, or may be forced to sell, some or all of its properties.

  • Sources of cash and liquidity The Directors intend to finance RTOP's activities outside of the Working Capital Period through cash flow generated by its commercial activities, and if appropriate, equity and/or debt financing, although RTOP would only utilise such financing options on terms that are acceptable to the Directors and would not be expected until the point where current funds have been largely depleted.


More Definitions of Working Capital Period

Working Capital Period means the period beginning July 1, 2010 and ending on the Working Capital Date; and
Working Capital Period has the meaning set forth in Section 12.4. “Working Capital Statement” has the meaning set forth in Section 12.4. “WTI” means West Texas Intermediate crude oil and any crude oil meeting the specifications of the WTI NYMEX futures contract for delivery at Cushing, Oklahoma. “WTI Contracts” means WTI NYMEX futures contracts on which the WTI Price component of the Transfer Price is based. “WTI Differential” has the meaning set forth in Section 12.1(c). “WTI Price” has the meaning set forth in Section 12.1(a). 1.2
Working Capital Period means the 12 month period from the date of this Document.
Working Capital Period means the period from Admission to 31 December 2005; and

Related to Working Capital Period

  • Working Capital Deficit means the amount by which the Working Capital is less than the Target Working Capital Amount.

  • Working Capital Target means $0.

  • Working Capital Amount means the difference between (x) the total current assets of the Company and its Subsidiaries and (y) the total current liabilities (other than the New Company Debt, the Existing Company Debt and Deal Expenses) of the Company and its Subsidiaries (in each case calculated in accordance with GAAP immediately prior to the Effective Time and after giving effect to the Contribution, the Distribution and the disposition of cash and cash equivalents contemplated by Section 6.24).

  • Working Capital Escrow Amount means $1,000,000.

  • Working Capital Reserve means a cash reserve held in the Operating Account that is readily available to Manager during the Term to finance the services, repairs and maintenance described in Section 5.2 including Minor Capital Expenditures and Major Capital Expenditures, insurance premiums for the Property described in Section 9.1, and utilities for the Property, in such amounts as determined by the Owner in its sole discretion.

  • Working Capital Advance has the meaning specified in Section 2.01(c).

  • Target Working Capital Amount means $162,000,000.

  • Net Working Capital Amount means, with respect to a Participating McNeil Partnership, the excess of the Positive Excess Cash Balance of such Participating McNeil Partnership over the cash on hand of such Participating McNeil Partnership immediately prior to the Effective Time.

  • Net Working Capital Target means $0.00.

  • Final Closing Working Capital has the meaning set forth in Section 2.4(e).

  • Working Capital Units shall have the meaning given in the Recitals hereto.

  • Working Capital Facility means, at any time, the aggregate amount of the Working Capital Lenders' Working Capital Commitments at such time.

  • Target Net Working Capital Amount means an amount equal to $23,085,000.00.

  • Adjusted Working Capital means the remainder of (a) the consolidated current assets of the Obligors minus the amount of cash and cash equivalents included in such consolidated current assets, minus (b) the consolidated current liabilities of the Obligors minus the amount of consolidated short-term Debt (including current maturities of long-term Debt) of the Obligors included in such consolidated current liabilities.

  • Base Working Capital means $25,000,000.

  • Working Capital Commitment means, with respect to any Working Capital Lender at any time, the amount set forth opposite such Lender's name on Schedule I hereto under the caption "Working Capital Commitment" or, if such Lender has entered into one or more Assignments and Acceptances, set forth for such Lender in the Register maintained by the Administrative Agent pursuant to Section 8.07(d) as such Lender's "Working Capital Commitment", as such amount may be reduced at or prior to such time pursuant to Section 2.05.

  • Working Capital Adjustment Amount means an amount equal to the difference between (i) the Working Capital of the Company as of the Closing Date and (ii) the Estimated Working Capital Amount. For the avoidance of doubt the Working Capital Adjustment Amount may be a negative number.

  • Working Capital Loan has the meaning provided in Section 2.04(a) (Working Capital Loan Availability).

  • Closing Working Capital means: (a) the Current Assets of the Company, less (b) the Current Liabilities of the Company, determined as of the open of business on the Closing Date.

  • Final Closing Net Working Capital has the meaning set forth in Section 2.6(c).

  • Estimated Closing Working Capital has the meaning set forth in Section 2.04(a)(ii).

  • Working Capital Assets has the meaning as set forth in the Recitals of this Agreement.

  • Target Working Capital has the meaning set forth in Section 2.04(a)(ii).

  • Net Working Capital Adjustment Amount means an amount (which may be a positive or negative number) equal to (a) the Closing Date Net Working Capital minus (b) the Target Net Working Capital.

  • Net Working Capital means, at any time, Consolidated Current Assets at such time minus Consolidated Current Liabilities at such time.

  • Working Capital means, on any date, Current Assets less Current Liabilities.
