WTW has made available to Aon a true and complete list, as of WTW Capitalization Date and on an aggregate basis, of (i) the number of WTW Shares underlying WTW Equity Awards and (ii) the exercise prices of WTW Equity Awards, if applicable.
Equity Awards means all options to purchase shares of Company common stock, as well as all other stock-based awards granted to the Executive, including, but not limited to, stock bonus awards, restricted stock, restricted stock units and stock appreciation rights.
Company Equity Awards means the Company Options, Company RSUs and Company Restricted Shares.
Company Equity Award means a Company Stock Option or a Company Restricted Share granted under one of the Company Stock Plans, as the case may be.
Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.
Company Equity Plans means any stock option, stock incentive, stock purchase or other equity compensation plan, sub-plan or non-plan agreement sponsored or maintained by the Company or any Subsidiary or controlled Affiliate of the Company or to which any such entity is a party.
Company Stock Plans has the meaning set forth in Section 3.02(b).
Company RSUs mean restricted stock units with respect to shares of Company Common Stock granted under any Company Stock Plan.
Parent Equity Plans means all employee and director equity incentive plans of Parent and agreements for equity awards in respect of Parent Common Stock granted under the inducement grant exception.
non-equity incentive plan means an incentive plan or portion of an incentive plan that is not an equity incentive plan;
Company RSU Award means any award of restricted stock units or performance stock units outstanding under the Company Stock Plans.
Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.
Awards means Options, RSUs and PSUs granted to a Participant pursuant to the terms of the Plan;
Company PSUs means any performance-based restricted stock units of the Company, whether granted pursuant to any of the Company Stock Plans or otherwise.
Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.
